What You'll Do:
As our Contracts Administrator, you will work closely with our Sales team, General Counsel, and departmental leaders to manage all aspects of contract life cycle requirements. You will administer, draft, and negotiate contracts and commercial transactions. You will triage ad-hoc issues and requests from the business while working to identify & implement best practices in contracts administration. This role requires the ability to coordinate company resources to effectively meet customer needs and company goals in connection with contracts.
Manage & improve contract administration efforts
Create, draft, and revise contracts including technology agreements, customer agreements, channel partner and alliance agreements, vendor agreements, subscription agreements, order forms, statements of work, amendments, and various other forms and agreements
Act as principal point of contact between Sales, Legal and customers for negotiating, routing, and processing contract-related documents for signature and archiving
Evaluate contractual risks and prepare risk memos
Coordinate contract input with Sales, Product, Finance and other departments
Triage issues and requests to determine the appropriate disposition
Negotiate legal and business provisions and implement successful contract solutions
Maintain post-contract signing compliance
Create and maintain a model legal provisions library; default library
Support additional corporate legal, regulatory, corporate governance, legal research, training, M&A projects, and other legal and compliance initiatives
Proven ability to manage and evolve a contracts administration program in a fast-paced environment - 5+ years of relevant experience preferred
Experience with technology transactions, software/technology licensing, and SaaS agreements
Prior experience creating, drafting and revising technology and/or software-related contracts
Strong ability to partner with Sales, Product, Finance and other departments
Expertise in negotiating contracts with a solid understanding of legal liability provisions and application of the reasoning and examples behind strategic positioning to achieve creative and successful solutions
Expertise in drafting, editing, redlining, and wordsmithing legal and business provisions
Ability to manage and prioritize multiple matters, projects, and deadlines
Ability to implement efficiencies into the contracts process
Careful attention to detail and the ability to spot issues, errors and inconsistencies
Ability to exercise sound business judgement, and maintain confidentiality and discretion
Proficient in Microsoft Office suite and MS Word for reviewing, comparing, and redlining documents
Familiarity with contract management and electronic signature software and processes; Experience with Salesforce preferred
Telecommuting is allowed.
