About the Position:
Reporting to the Executive Vice President, General Counsel and Secretary, the Associate General Counsel will provide key support in all corporate and transactional matters, including capital markets transactions, acquisitions, financing, joint ventures, contracts and commercial agreements. The successful candidate will also provide guidance and support on all aspects of securities, regulatory, and compliance matters for a public company to supplement the General Counsel’s expertise, including: 1934 Act reporting, 1933 Act offerings, NYSE compliance, general corporate transactions and corporate governance matters. The Associate General Counsel will be expected to become fluent in the Company’s businesses and will be included in related transactions under the guidance of the General Counsel, interfacing directly with members of the executive team, outside counsel, and business unit heads. Under the direction and supervision of the General Counsel, the Associate General Counsel will attend board meetings and will interact with members of the board of directors. The successful candidate will be diligent and proactive, and have demonstrated excellent legal and management skills, business judgment, strategic thinking and the ability to work independently and in team settings. This position is located in midtown Manhattan where the company is headquartered.

The ideal candidate will possess approximately 7-10 years of relevant legal practice servicing publicly traded companies, including substantive experience negotiating, structuring and documenting corporate M&A transactions and investments, as well as advising on corporate governance matters. Experience in REIT and commercial real estate is desirable but not required. Top-tier credentials are required for consideration. It is essential that the Associate General Counsel be diligent and proactive, have strong organizational, communication, business judgment, strategic thinking and analytical skills, accept challenge and embrace a collegial, team-oriented work style.
Membership in good standing to the State Bar of New York or the ability to register as an “in-house counsel” pursuant to applicable New York rules.
The Associate General Counsel principally will provide oversight of and/or directly participate in:
All corporate and transactional matters, including mergers, acquisitions, joint ventures, financings, capital markets transactions, contracts and commercial agreements;
Public company compliance, supplementing the General Counsel’s knowledge and expertise in the full range of securities and public company regulatory and compliance responsibilities, including all facets of ESG (environmental, social and governance matters);
Section 16 filings, 1933 and 1934 Act compliance, including the annual proxy statement, registration statements, Form 8-Ks and annual and quarterly reports, quarterly earnings releases, analyst call scripts and Regulation FD issues;
SEC and NYSE compliance;
Gaming regulatory compliance matters;
Developing and implementing legal policies, processes and forms in order to assist in maximizing speed and efficiency of the legal department; and
Preparing for and coordinating Board meetings and corporate governance matters, including disclosure committee.
Undergraduate degree from a well-known university/college combined with a J.D. from a highly respected law school;
Membership in good standing to the State Bar of New York or the ability to register as an “in-house counsel” pursuant to applicable New York rules;
Foundational training from a top-tier law firm with specific experience in corporate and transactional matters, including mergers and acquisitions, capital markets transactions and leveraged and/or real estate finance matters;
Approximately 7-10 years of relevant legal practice serving publicly traded companies, including substantive experience negotiating, structuring and documenting corporate M&A transactions and investments;
Public company reporting and compliance experience is required;
Self-confident, self-starter, able to work effectively and autonomously with regards to complex corporate transactional matters; and
Exposure to REITs is desirable but not required.
The successful candidate will have the ability to contribute to the structures and terms of business transactions and corporate and finance projects across the organization, as well as drive the effective management of risk through proper legal analysis and key contractual terms and conditions.
