FTSE 250 global power generation company with newly acquired US businesses seeks a US lawyer with 8-10+ years’ experience in thermal operations and generation and US regulatory requirements to support its US [and Caribbean] gas-fired and co-generation assets. The successful candidate will have experience in power generation and general corporate, transactional, project finance and supporting regulatory, permitting, compliance and litigation related matters.
Position responsibilities include:
Lead lawyer for US thermal businesses with responsibility for all related legal operational matters, including offtake, finance, and service provider and other commercial agreements; US and regional regulatory requirements; and supporting permitting and licensing compliance
Draft and review project documentation and related amendments as needed (e.g., PPAs, O&Ms, fuel supply and transportation agreements, physical and financial hedges and swaps including ISDAs, equipment supply)
Corporate governance for US entities and holding company structures, including shareholder and director approvals and entity compliance
Support US growth and transactional opportunities, including M&A, joint ventures, and project development
Monitor claims and manage disputes and legal proceedings related to US businesses, including related internal reporting
General legal support for operations, including contractual, labor and employment matters; drafting and reviewing agreements and other documentation, non-disclosure and confidentiality agreements, waivers and consents from existing lenders, insurance policies, real estate leases, services contracts, and engagement letters with financial and legal advisors, independent engineers and consultants
Work in an integrated manner with Corporate Service counterparts and global functions, including Finance, Tax, Compliance, and IT
Support Thermal Legal Organization, including Thermal Division General Counsel, in organizational initiatives, including performance against quarterly and annual group objectives and collecting and reporting Legal Organization key performance indicators and other performance management metrics
Managing outside counsel and other legal services providers, including managing external legal spend, negotiating discounts, fee caps and fixed fee arrangements, and managing providers to established budgets/caps
Supporting group and regional Compliance group activities, including awareness of policies and training and communications
Other legal work as required.
This position may require approximately 15-20% international travel throughout the year, subject to COVID-19 travel restrictions and developments.
Law degree with excellent academic credentials
Experience at a top-tier US or international law firm and relevant sector in-house experience
Excellent oral and written communication and presentation skills
Ability to work in a fast-paced environment and manage competing priorities, establish rapport and drive consensus and solutions
Ability to work laterally with multiple corporate service functional heads and their direct reports
Telecommuting is allowed.
