Job Summary: The Corporate Counsel provides legal guidance to WTCA’s Board and management on all matters that affect the company. The Corporate Counsel’s primary role is to: advise on corporate legal issues and membership licensing and compliance issues; supervise outside (U.S. and foreign) counsel retained by WTCA to assist on legal matters; oversee and coordinate management of the company’s worldwide trademark portfolio by WTCA’s Senior Paralegal; and prepare and manage the Legal Department’s budget and business plan.

Responsibilities:

  • Manage the day-to-day operations of the company’s Legal Department

  • Provide legal guidance on company business matters, including all facets of intellectual

    property and licensing, regulatory compliance, risk management, tax, and employment

  • Supervise management of the company’s trademark portfolio and outside counsel retained by the company to monitor and enforce the company’s trademark rights, including drafting legal papers and conducting document productions

  • Draft and review license agreements with the company’s global Members and oversee the monitoring and enforcement of the Members’ compliance with those agreements

  • Work with Member Services and Communications Departments in monitoring and enforcing brand compliance by WTCA’s members and marketing materials

  • Draft and review employment, consulting and vendor agreements

  • Serve as compliance officer and assist the company’s Human Resources department in the review and monitoring of company employment practices and policies, and other regulatory compliance

  • Assist management in compliance with financial and operational protocols in connection with the company’s external and internal audits

  • Work with the Secretary of the Board and management in preparing timely reports for the Board and its Committees

  • Oversee projects assigned to the company’s Senior Paralegal and legal intern(s) and develop and mentor team members and direct report(s)

  • Such other Legal Department responsibilities as delegated by the Board

 

 

 

Knowledge and Skills Requirements:

  • Legal degree and admission to New York Bar or equivalent to practice as in-house counsel in New York (Required)

  • 10 years of legal practice, preferably as in-house counsel

  • Experience in IP law, particularly trademarks and corporate regulatory compliance

  • Experience managing cases, attorneys, paralegals

  • Experience in budgeting legal matters and monitoring legal expenses

  • High level of independent judgment on legal matters

  • Strong verbal and written communication skills; pro-active in identifying and addressing issues and managing deadlines; and able to work independently and within a team environment.

  • Knowledge of and experience with Outlook, MS Word, MS Excel, MS PowerPoint and document management systems, with desired experience in TESS, SAEGIS, and major online IP retrieval websites and databases, and trademark docketing systems.
