The Vice President & Senior Counsel position provides Hobbs Brook Management LLC and affiliated entities with outstanding legal counsel and advice in a variety of areas related to its commercial and corporate real estate portfolios, including leasing, acquisitions, development and construction, corporate matters, and international real estate/corporate matters. This position is a top internal legal executive, who manages a team of legal professionals, and is involved in all legal matters including managing assignments to outside counsel.
Working closely with internal commercial and corporate leasing teams, provide legal representation in matters related to the day-to-day operation of: (a) the owned real estate portfolio, and (b) leased portfolio of approximately 60 corporate offices, including international locations. This involves analyzing and addressing leasing questions, drafting leases, amendments, offer notices, consents and related operative lease documentation. Also, conducting negotiations, and interpretation and resolution of property management issues.
Working closely with internal construction team and other key stakeholders, provide responsive legal representation related to real estate development and construction projects, including drafting, review and negotiation of construction contracts, zoning/permitting research, and facilitation of necessary municipal approvals.
Provide timely legal representation for commercial property acquisitions, consisting of properties with existing improvements or future development sites, including project management, drafting and negotiation of operative documents (purchase and sale agreements, leases, amendments, deeds, closing documents, joint venture agreements, loan agreements). Also, due diligence analysis of title, survey, zoning, permitting, environmental factors, and facilitation of closing transaction.
Closely manage and oversee assignments to outside counsel on leasing and transactional matters, among other assignments.
Provide timely and accurate provision of legal document review, contract drafting, advice and negotiations for optimized business relationships with internal and external customers.
Lead a legal team of real estate professionals, consisting of an attorney and paralegal.
Act as primary corporate counsel for affiliates/property owner entities, including maintaining corporate records, handling annual compliance filings, formation of new entities and related documentation.
Supports Human Resources on policy and compliance matters.
Minimum 10–15 years of meaningful experience in a law firm or corporate legal environment (preferably in the metropolitan Boston market), managing real estate matters and major transactions for commercial properties, including leasing, property management issues, acquisitions/dispositions, development, zoning/permitting, and due diligence analysis. Also, experience handling general corporate matters and drafting and negotiating variety of contracts. Experience with construction contracts required.
Experience managing legal professionals in a law firm or corporate environment, with an emphasis on professional growth and development.
Proven track record on providing practical, timely and decisive legal advice and solutions. The ability to work collaboratively and seamlessly with business units and colleagues across a wide spectrum.
Bachelor's Degree and Juris Doctor Degree from an accredited law school.
Licensed to practice law in the Commonwealth of Massachusetts or ability to become licensed in MA.
