Senior Counsel – Corporate Altice USA Long Island City, NY Altice USA is seeking an experienced attorney to provide legal support for its corporate function. Reporting to the SVP – Legal, this role will be responsible for ensuring compliance with securities laws, rules and regulations, including annual and periodic reports, proxy statements and assist with debt and equity offerings. The Sr Counsel- Corporate will also assist with M&A activity, from initial NDAs through closing. Responsibilities: - Advise on and support corporate securities and SEC reporting and compliance matters, including preparation and filing Forms 8-K, 10-Q and 10-K, Form 4s, proxy statements and related filings.
- Provide counsel in the areas of capital markets transactions, including diligence, deal coordination, and signing and closing documentation.
- Provide counsel on mergers & acquisitions for all phases of transactions, including NDAs, diligence, offer letters, purchase agreements, ancillary agreements, closing documentation, and post-closing integration.
- Assist with support of the Board and Committees, and ensuring accurate record keeping and reporting.
- Responsible for management of AUSA’s subsidiaries, including maintenance of books and procedures, management of state filings, and organization of entity structure with tax, accounting, HR, and related functions.
- Advise and work closely with a variety of key stakeholders, including senior management, Accounting, Investor Relations, Treasury, Tax, Finance, and business functions.
- Oversee the work of a paralegal dedicated to corporate compliance work.
- Recommend policy and process improvements relating to the above.
Qualifications: - JD degree and state bar admission required.
- Minimum of 5 years’ experience of related legal experience at a law firm and/or as in-house counsel, preferably including experience working on securities/corporate governance/corporate finance practice.
- Experience in corporate securities (’33 and ’34 Act), corporate governance and corporate finance.
- Experience/exposure to legal support for multi-faceted M&A transactions.
- Demonstrated ability to apply sound business judgment, provide practical legal advice, and quickly build and maintain effective and positive relationships with business partners and colleagues in the legal department.
- Demonstrated ability to work in a fast-paced, entrepreneurial environment and to perform well under pressure while performing multiple tasks.
- Excellent interpersonal, organizational, and communication skills. Strong business acumen and analytical skills as a senior attorney.
- Unquestioned ethics and integrity, sound judgment and high tolerance for ambiguity and ability to get to the root of the matter.
