The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
The Senior Legal Counsel will provide legal and business support to ESCO’s operating subsidiaries worldwide in areas such as litigation, contracts, and commercial transactions. In addition, this position will have a support role at ESCO on corporate matters and its steady stream of M&A transactions. This position requires the ability to handle a wide range of diverse legal matters as well as a desire to learn new areas of the law as issues arise. As a member of ESCO’s small in-house legal team you must be a detail oriented problem solver with minimal need of oversight. Working knowledge of government contracts would be a plus. Major Responsibilities:
Manage litigation, customer claims, and third party discovery requests with support from outside counsel as necessary.
Draft and negotiate complex domestic and international agreements between ESCO subsidiaries and third parties (e.g. customers, distributors, vendors) which may involve custom drafting and/or revising agreements proposed by third parties.
Conduct M&A due diligence in assigned subject matters areas, prepare/review disclosure schedules, prepare summary reports for RWI activities, and resolve post-closing claims.
Investigate, evaluate, and propose resolutions for ethics reports made to the General Counsel or as otherwise assigned.
Manage resolutions of projects and issues in various regulatory compliance areas with support from outside counsel as necessary.
Address routine corporate issues such as preparation of resolutions, return of capital, declaration of dividends, intra company transactions, and equity contributions.
Support and/or drive implementation of new file docketing and records management system at ESCO.
Minimum Requirements:
Must have a JD degree and be qualified to practice in at least one US State. Undergraduate degree in business or finance preferred.
Must have at least 5 to 10 years of relevant experience.
Strong critical thinking and analytical skills that lead to creative solutions to business challenges.
Ability to work independently and manage multiple projects on tight deadlines.
Superior writing and drafting skills.
Willingness to travel domestically occasionally and internationally rarely.

Additional Desired Attributes:
In-house experience at a public company or complex private company would be beneficial. Law firm litigation experience would be helpful.
A working knowledge of government contracts (FARS, DFARS, etc.) would be a plus.
Capacity to learn and understand the Company’s markets and technologies so as to be equipped to provide appropriate legal support.
Strong interpersonal and communication skills with the facility to collaborate and build professional relationships with internal clients and external resources.
