Crowe LLP is seeking an attorney for a Counsel position within the firm’s Legal Department. Individuals at the Counsel position will review, revise, and negotiate professional services and technology-related agreements for the firm. Duties and responsibilities will expand as Counsel demonstrates a robust understanding of Crowe’s business and the ability to manage business risk.
Role and Responsibilities:
Draft and negotiate professional services and technology-related agreements, including master services agreements, engagement letters, confidentiality agreements, business associate agreements, SaaS agreements, data protection agreements, software licenses, subcontractor agreements, as well as related statements of work;
Develop a detailed understanding of Crowe’s professional service lines and technology products and their associated risks;
Review requests for proposals (“RFPs”) in order to identify areas of risk and advise partners and other business personnel on appropriate risk mitigation strategies;
Understand and apply professional standards that are relevant to specific service lines, including standards that apply to audit and tax services;
Learn and apply US and international privacy and data protection laws as well as information security requirements in the review and negotiation of client and vendor agreements;
Identify apparent and hidden risks associated with the task presented and collaborate to manage the risk;
Negotiate vendor agreements with an understanding of how the vendor will support Crowe’s business and the risks associated with the vendor’s services or products; and
Craft creative legal and risk management solutions to issues faced by both the firm and its clients.
Key Qualifications:
Members of the Crowe Legal Department work in a high-volume, dynamic, and diverse environment with rapidly shifting priorities, focused on risk management and successful deal-making. This position will report to an Assistant General Counsel and have exposure to Crowe partners, management, clients, client counsel, vendors, and all Crowe business functions. Counsel must manage firm risk and learn general firm practices in a wide variety of areas. Counsel must also commit to learning Crowe’s multiple business lines and products at a detailed level.
A successful candidate will be a leader capable of developing and maintaining close working relationships with the firm’s other business leaders while effectively responding directly to demanding external client requirements. Initiative is required, as are strong negotiation skills leading to the successful closure of diverse transactions. The Crowe Legal Department manages a large volume of requests, and candidates will need the ability to manage a substantial workload with changing priorities.
Candidates must be well organized and able to meet deadlines, while possessing sound business judgment, discretion, flexibility, a willingness to learn, and superior writing and verbal communication skills. Candidates must be team oriented and unafraid of rolling up their sleeves to take on tasks as needed. Enthusiasm for learning new technology, including our contract management system, and strong knowledge of Microsoft Office are required. Preference will be given to candidates with technology, banking, or healthcare agreement experience. Additional experience that will be helpful for this role – but is not required – includes reviewing state or federal government contract requirements and assessing compliance capability; working in governmental, accounting, or financial regulatory sectors; and advising on a range of intellectual property matters as they relate to marketing, trade secrets, licensing, patents, and copyright.
Candidates must have at least three years of relevant experience in a law firm, government agency, or in-house counsel role and be admitted to a state bar in good standing. Candidates will be required to take and pass the Illinois bar, but Illinois admission is not a prerequisite. In the pandemic environment, you will be expected to work primarily from home. Once pandemic safety-related precautions ease, candidates will be expected to work three days per week in our Oak Brook, Illinois office, and may work at home or in our Chicago office during other days of the week.
