The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
Inclusive Prosperity Capital (IPC) seeks its first General Counsel (GC) for this mission-driven investment fund. Reporting to the Chief Executive Officer (CEO), the GC is responsible for building and overseeing the legal functions of the organization, as well as advising the leadership team on operations, capitalization, and financial products. The GC will provide day-to-day legal and compliance support to the organization and manage the work of outside counsel. As a key member of the leadership team, the GC will play an important role in determining the strategic direction of this mission driven, growing, high-impact investment fund.
Overseeing all legal matters and advising the CEO and leadership team on organization strategy and development, capitalization, financial products, and operations
Providing day-to-day legal support
Preparing, reviewing, and negotiating a wide range of contracts, MOUs, licenses, leases, and other agreements, with a focus on standardization
Reviewing legal due diligence
Identifying and mitigating legal risk impacting organization decisions
Ensuring all operational and organizational legal requirements are implemented and carried out and managing contract administration activities
Maintaining expertise in laws and regulations pertaining to the organization and anticipating impact on organization from legislative and regulatory changes
Protecting the organization from undue exposure, liability, and significant financial loss, as well as the organization’s reputation, resources, programs, and products
Developing and implementing innovative methods for reducing legal spend in clean energy transactions, with a focus on standardization
Advising IPC on litigation matters involving the organization, in coordination with outside counsel
Developing and managing the legal budget for the organization, in coordination with the leadership team
Assisting on general compliance matters and other employment-related legal matters
Engaging and overseeing legal work provided by outside counsel
Reporting legal issues and activities to the CEO, leadership team, and Board of Directors
This is a unique opportunity to play a key role in a 2-year-old, growing, mission-oriented organization; successful candidates will be expected to apply an “all hands” approach.
EDUCATION & EXPERIENCE
Juris Doctor Degree from an accredited law school. Must be a member of the Connecticut or New York Bar in good standing (or eligible to become an active member) and have at least seven years of experience practicing law in the areas of finance, clean energy, or related field.
The ideal candidate is an analytical and strategic thinker and business-minded attorney with the ability to evaluate information and determine an appropriate course of action. They have excellent judgment and are not afraid to make difficult decisions. They are excited by complex challenges and enjoy finding creative and effective ways to solve problems. They are a strong communicator, able to explain technical concepts clearly to other people. They work well independently and collaboratively with diverse groups of stakeholders. They are willing to take on additional responsibilities to fill in the needs of IPC. The ideal candidate will be eager to lead and grow in a collaborative fast-paced team environment. They are committed to tackling climate change issues for those that need it most and approach their work with an entrepreneurial and creative spirit.
SKILLS & REQUIREMENTS
IPC seeks candidates that exhibit both mission alignment and professional competency in the following areas:
Member of the Connecticut or New York Bar in good standing or eligible to become an active member;
Substantial knowledge and experience with commercial contracts and negotiations;
Demonstrated knowledge of corporate governance and general corporate matters;
Commitment to the mission of IPC;
Experience advising senior executives and working cross-functionally and across departments;
Demonstrated ability to manage multiple projects and competing deadlines;
Experience applying and interpreting local and federal statutes, opinions and regulations pertaining to energy and the environment, as well as banking and finance;
Expertise in legal structures for a variety of investment and financing models;
Experience with investment and project finance transactional work, including drafting and negotiating a wide range of legal contracts;
Knowledge of electric and energy industries and related regulations and processes;
Familiarity with energy efficiency and renewable issues, including power purchase agreements and energy efficiency service contracts;
Supervisory and budgeting experience, including the management of outside legal counsel;
Considerable interpersonal skills;
Considerable verbal and written communication skills;
Ability to work under pressure and with minimal supervision
Reports directly to the CEO and may eventually oversee one or more junior staff
Can be remote or based in IPC’s Rocky Hill, CT or New York City offices
