Major, Lindsey & Africa has been retained by a Fortune 500 retailer to find a Vice President of Legal, Securities & Compliance. A recognizable name in retail, our client has stores throughout North America and has an annual revenue of over $10 billion. This position is based in the Northeast region.
This role will manage securities, regulatory compliance, and general compliance for the Company. The successful candidate will report directly to the Chief Legal Officer and will have primary responsibility for the Company's securities law, compliance needs, and corporate governance matters, and will also serve as Assistant Secretary of the Board. This role will oversee all legal functions relating to U.S. securities, governance, regulatory, product safety, COVID compliance, and aspects of the Company's contract program. As a critical partner to the GC, the VP of Legal will drive the legal team's transformation and growth of the compliance function.
Requirements
Minimum of 10 years of relevant experience at a top law firm and in-house legal department.
Strong corporate governance and securities law background required.
Product safety and regulatory compliance expertise strongly preferred.
Experience in the retail industry preferred.
Ability to manage a small team of lawyers and outside counsel.
Expertise to partner with key stakeholders across the organization, including Finance, Investor Relations, and HR, concerning the Company's securities filings. Responsible for ensuring compliance with SEC and Nasdaq rules and requirements, management of filings with the SEC, including Forms 3, 4, 5, annual and quarterly reports on Forms 10-K and 10-Q, current reports on Form 8-K, proxy statements, Forms S-8, Section 16 filings, and other disclosure requirements.
Ability to manage the Company's insider trading policies and support the Company's various ESG efforts, conflict minerals filing, and annual social responsibility report.
