The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
Under the management and direction of the General Counsel, the incumbent will be responsible for advising on general real estate and finance matters, entity formation and tax matters and reviewing, drafting and negotiating a wide variety of contracts and agreements to support Real Capital Solutions (RCS) in its commercial real estate business. Work will be transactional and will involve preparation, review and negotiation of purchase and sale agreements, operating agreements, 1031 exchanges, as well as closing documents with regard to all acquisitions and dispositions. No litigation work will be required; however, the incumbent will participate in the management of outside litigation counsel in connection with RCS-related disputes and litigation. This leader will become a trusted advisor to senior leadership and work with diverse groups of investors to get results in a challenging and fast paced environment.
All aspects of commercial real estate acquisitions, sales and development, including preparation and negotiation of contracts and all aspects of due diligence and closing.
Familiarity with and drafting of organizational documents related to joint ventures and limited liability companies. Familiarity with tax laws and regulations is necessary.
All aspects of 1031 exchanges, including forward, reverse and improvement exchanges.
Real estate finance, including loan document review and negotiation, as well as loan closings.
Anticipate and mitigate potential legal problems within the RCS organization, providing relevant advice to senior leadership.
Assist in the management of legal issues concerning ongoing ventures, entity structures and investor relationships.
Familiarity with commercial leases, ground leases and common community formation documents a plus.
Manage outside counsel related to real estate transactions, balancing cost and effectiveness in the delivery of legal services.
Manage outside litigation counsel and act as a legal consultant for RCS in any legal matters, mediations, arbitrations, and hearings.
Provide full support of all other RCS departments and employees regarding company and legal matters.
Collaborate and communicate effectively with General Counsel regarding issues that impact the development and operations of the business.
Assist in the management of the RCS Legal Department and supervision paralegals and legal assistants regarding responsibilities related to RCS acquisitions, dispositions and financing.
Strong academic credentials with a J.D. from an accredited law school; attorney's license must be current, active and in good standing.
Minimum 8 years of practice in a law firm or in-house with a practice concentration in real estate, finance, entity formation and other commercial areas.
Minimum 5 years of supervisory/management experience.
Demonstrated strategic approach to legal problem solving; Detail-oriented, organized, efficient and resourceful with strong follow-through skills.
Strong negotiation skills and ability to interact with legal and business leaders internally and externally.
Acumen to effectively balance compliance with the law against business goals and initiatives.
Demonstrated experience supervising other attorneys, paralegals and legal staff.
Excellent written, verbal and analytical skills, with an ability to communicate complex issues in a simple way and to orchestrate plans to resolve issues and mitigate risks.
Creative problem solver with the ability to quickly and accurately assess legal risks.
Ability to prioritize and manage multiple projects with a customer service attitude.
Hard-working and a self-starter with the ability to operate independently with minimal supervision in a fast-paced environment and meet tight deadlines.
Process-oriented with desire for constant improvement and development of best practices.
