Position Overview
We are defining the future of healthy consumer goods and you are going to want to be part of it!
Business-oriented and pragmatic, the Senior Director, Corporate and Securities Counsel, will guide the company during this period of high growth and increasing complexity. You are a builder, and you will help the company see around the corner as we design, implement, and maintain programs that are new and crucial to the company. You will report to the Chief Legal & People Officer. You will be the company’s primary legal lead in all areas related to capital market transactions, corporate governance, and M&A. This position will be based in our San Francisco office (working from home remotely until it is safe to return to our offices).
Your Impact:
Build the corporate compliance and governance programs, including their policies and procedures, to detect and deter illegal, unethical, or improper conduct and to appropriately disclose risks.
Develop and maintain programs and policies to ensure compliance with securities-related regulatory requirements, including the Sarbanes-Oxley Act, listing standards, Regulation FD and insider trading rules and proxy advisory firm policies.
Assist in corporate secretarial functions, including taking lead on general record-keeping, board and committee meeting housekeeping, and preparation of shareholder meetings.
Work closely with our equity team on equity matters, including equity plans, and compensation issues.
Assist in corporate formations and entity management.
Provide support for corporate development activities, including mergers and acquisitions and other corporate finance activities, including the due diligence process, negotiation of term sheets and definitive transaction agreements and M&A playbooks and related support projects.
Develop, implement and improve legal procedures and policies to create a more efficient legal function.
Develop strategies to scale legal support as the business grows
Assist with special projects as needed.
About You:
You are confident and proactive in your approach; concise, clear and unambiguous in your legal advice and other communications. You have the ability to work autonomously as well as collaboratively. You are comfortable with, and skilled in, interacting with senior management, and you are an effective manager.
JD from an accredited U.S. law school and is an active member in good standing of a U.S. state bar (and eligible to register in California as in-house/single-client counsel).
Minimum of 10 years of experience and minimum 5 years of experience in a top tier law firm, as well as 5 years of leadership experience in building, running and/or developing high performing legal teams.
Strong corporate and securities law background.
Experience advising C-suite, Board of Directors and executive level leaders on corporate securities, strategy, finance and M&A.
Extraordinary analytical ability and advocacy skills; excellent written and oral communication and negotiation skills, appropriate to all levels of employees.
Outstanding attention to detail.
Skilled, effective and empathetic manager who will cultivate professional growth and achievement among team members.
Specific counseling and transactional experience working in technology and consumer oriented business a plus.
Ability to develop and implement processes and procedures (including trainings) to continually improve upon the efficiency and effectiveness of areas of responsibility, working closely with other departments within Grove Collaborative, as applicable.
