Sunlight Financial LLC is seeking an experienced corporate and securities counsel. Sunlight is a technology enabled, point of sale financing company formed in 2015. Sunlight’s core business is in providing loans to homeowners desiring to “go solar” through a financed purchase of rooftop solar panels. The company recently announced that it will be going public through a merger with an Apollo Global Management sponsored SPAC, Spartan II, with a post- closing combined equity value of $1.3 billion. The merger is anticipated to close in 2Q2021
Reporting to the General Counsel you will be responsible for providing advice and guidance for corporate, securities, M&A and securities and public company compliance, and will support the legal team in other areas including transactions, operations, and commercial matters. The Securities Counsel will provide daily cross functional support to, and work collaboratively with, team members throughout the organization, including finance, operations, and treasury. This position provides an exciting opportunity for an individual interested in creating a public company governance and operational environment, from the ground floor up.
Experience: 8-12 years of corporate experience at a nationally recognized law firm (together with in-house experience a plus). Detailed understanding of SEC disclosure and reporting requirements and corporate governance matters.
What You'll Do:
Assist in the preparation and review of securities filings (e.g., 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statement, press and earnings releases, investor relations presentations)
Oversee securities law administration and compliance (e.g., equity incentive plan matters, and matters with respect to other securities laws and requirements)
Develop and review corporate governance materials, including resolutions, minutes and other meeting materials for meetings of the Board and its committees
Draft and negotiate M&A transaction agreements and manage all legal aspects of acquisition or disposition transactions
Provide oversight of Legal Operations
This position presents a great opportunity to get in on the ground floor of a fast growing, dynamic company that is currently in the process of going public and diversifying its business platform. This position will be a part of a currently eight-person, and growing, Legal and Compliance Department. Sunlight has offices in New York, NY and in Charlotte, NC.
