The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
The Director, Corporate Counsel provides a wide range of supportive legal counsel and advice to the Company, including its affiliated operating companies. The position is primarily responsible for providing direct and indirect legal support on the full spectrum of the Company’s corporate securities, SEC filings and SEC compliance matters, including 1933 and 1934 Act filings, financing and reinsurance arrangements. The position would also provide legal and compliance support to the Company’s mortgage insurance operations, product development and sales groups, including drafting, reviewing and preparing contracts and customer agreements, and performing required legal research. This position works collaboratively with the General Counsel/Chief Legal Officer, other lawyers and members of the law department, outside counsel, senior management and employees at all levels, to provide a wide range of legal services and advice to the Company.
JOB DUTIES & RESPONSIBILITIES
Oversee and ensure compliance with obligations under federal securities laws, including preparation and filing of 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reports and 1934 Act filings, including leading and filing all securities documentation.
Assist with corporate governance matters.
Ensure compliance with NASDAQ rules and regulations.
Assist on stock administration matters arising under the Company’s equity compensation plans.
Oversee and provide legal support on debt, equity and reinsurance offerings as necessary.
Review and negotiate third party contracts, advise on general commercial and litigation matters, work with outside counsel on a wide array of issues. Research and prepare memoranda on legal issues, and provide advice on compliance, regulatory, and general securities and business matters.
Work collaboratively with other attorneys in the legal department and management to help solve complex problems. Assist with the continued development of processes and procedures to support the Company’s maturing operations.
Support and work collaboratively with the finance, investor relations and accounting departments on public company, legal and compliance matters as they arise.
Maintain professional and technical knowledge by attending educational conferences and seminars; review professional publications; establish personal networks; benchmark state-of-the-art practices; participates in professional societies.
Perform ad hoc responsibilities as needed.
SKILLS & KNOWLEDGE
Juris Doctorate (J.D.) from an accredited law school; license to practice law in one or more states and/or the District of Columbia. If not licensed in California, then eligible to be admitted as a Corporate Counsel.
Minimum of three years of professional corporate and securities legal experience in a business environment in a top law firm. Experience in mortgage or insurance a plus.
Expertise in drafting and negotiating a wide range of legal documents and contracts.
Proficiency with Microsoft Office products, Outlook, Nitro Pro, Diligent OneClick, Workiva, Echosign and Adaptive Insights.
Excellent written and oral communication skills.
Ability to work independently under general direction with latitude for initiative and independent judgment.
