Corporate, General Commercial/Contracts, Outside Counsel Management
Seeking a highly motivated, self-starter for the role of Director, Legal Counsel Insomnia Cookies (the “Company”). The Director, Legal Counsel reports directly to the Chief Legal Officer (the “CLO”). The Director, Legal Counsel will work closely with the Company’s Legal Team to provide legal guidance to internal clients such as People, Finance, Operations, Marketing and Digital Product. This position is located in New York City.
ROLES & RESPONSIBILITIES
Under supervision of the CLO, manage and execute the Company’s legal agenda.
Review, draft and negotiate a wide variety of commercial agreements, including leases, supply, manufacture, master service, contractor, consulting, non-disclosure, vendor, employment, IP and settlement and release agreements.
Provide ongoing and proactive strategic advice on contract interpretation, including warranty, indemnity, termination rights and other potential dispute issues.
Serve as a critical partner to People Team; provide strategic advice and support the People Team with employment practices compliance, employment and related agreements and other instruments (including policies, benefits, performance management and terminations).
Liaise with outside counsel to manage litigation, employment matters, the Company’s intellectual property portfolio and contract drafting.
Conduct legal research/analysis and provide proactive counsel to CLO and Company leadership on laws, rules, regulations, and policies applicable to the Company. Consistently guard against and provide timely evaluation of potential risks in contractual, regulatory, and other legal areas.
Assist CLO with management of pre-litigation, litigation disputes and agency investigations as they may arise.
Assist with the management and enforcement of the firm’s intellectual property portfolio (primarily trademarks).
Review Company materials (marketing, employment, reporting, compliance) to ensure compliance with laws, regulations, policies and procedures.
Perform ad hoc projects, as needed.
QUALIFICATIONS
At least 5-7 years’ relevant experience, with demonstrated ability to independently review, draft and negotiate a variety of commercial agreements on behalf of the Company. Experience with commercial leases is desired.
Licensed attorney in New York.
Some in-house experience a plus, but not required.
High quality drafting skills with meticulous attention to detail are critical.
Employment law experience is a plus, but not required.
M&A experience is a plus, but not required.
Excellent communication and interpersonal skills; experience interacting with members of a small legal team and in advising the various departments of the Company.
Outstanding judgment with intellectual curiosity and strong analytic ability, with an ability to proactively determine, prioritize and resolve issues. Creativity and resourcefulness, with a drive to achieve positive results.
The ability to identify issues and make reasoned decisions in a fast-paced environment.
Ability to learn quickly and work independently with little supervision.
Ability to influence others while maintaining high levels of integrity and discretion.
Self-motivated, flexible with ability to adapt to changing priorities, and efficient working style.
