SUMMARY The Associate Counsel position will support the Family Office legal team in a wide range of strategic issues including asset management; mergers & acquisitions; private equity investments; finance; international corporate law, corporate governance and other corporate and philanthropic activities at The Friedkin Group. Critical to the success of this position and the Family Office legal team as a whole is the ability to translate knowledge in those areas into actionable advice and into the management of effective legal processes. RESPONSIBILITIES - Assist with the management and administration of over 200 domestic and international entities, including legal analysis regarding entity formation and structure, preparation of consents and meeting minutes, and oversight of governmental filings related to corporate governance and compliance issues.
- Provide support for real estate matters handled by the Family Office legal team, including the acquisition, development, operation, leasing, management, and disposition of a wide variety of real property.
- Assist the Family Office legal team with regard to an array of secured and unsecured commercial credit facilities including traditional commercial loans, asset-based lending agreements, construction and development loans, private shelf facilities and equipment leases.
- Support the Family Office legal team on transactional matters relating to mergers and acquisitions, as well as private equity and other investments across a range of highly diversified asset classes.

QUALIFICATIONS Doctor of Jurisprudence degree with superior academic credentials from a nationally recognized United States Law School and four to eight years' experience as a corporate counsel in a public or private company of similar size to The Friedkin Group and its affiliated companies; or relevant experience with a reputable law firm. Experience in the following areas is strongly preferred: (a) Commercial Transactions, (b) Corporate Governance, (c) Private Equity Transactions, (d) Mergers & Acquisitions, (e) Real Estate, (f) General Corporate Law, and (g) Finance. The Associate Counsel will be responsible for addressing a broad array of unique legal issues in a time-sensitive and diplomatic fashion. As such, the Associate Counsel must be flexible, dynamic and energetic in effectively handling the legal issues that arise in the context of a Family Office. - Effective interpersonal, oral and written communication skills are a must
