The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
The Contracts Counsel provides support and representation to Professional Case Management in all contracting matters both nationally and internationally. This position will work with (i) business leads to draft, negotiate, and finalize contracts, and (ii) the General Counsel and outside counsel to analyze and address issues that may arise in connection with PCM contracts.
Review, draft and negotiate, clinical trial, master service, product supply, technology, licensing, business associate, employment, lease, distribution, confidentiality, non-solicitation, and other types of commercial agreements.
Advise business leaders on legal issues related to contracts and provide practical, business-oriented legal solutions.
Review, draft and revise contract templates, procedures, and job aids.
Develop a contract life-cycle management process for the homecare division and work with the clinical trials division contract manager to ensure legal processes and procedures are aligned.
Draft and negotiate flow-down terms and conditions to subcontractors and partners.
Promptly address and resolve contract disputes as they may arise prior to or in connection with litigation or alternative dispute resolution processes.
Research international, national, and local laws and regulations to identify requirements that must be followed in local jurisdictions.
Prepare and deliver training to executives and managers on contract language, processes and procedures.
Proactively identify business-oriented solutions for mitigating risk to the company.
Liaise with PCM’s Compliance Department, Senior Data Privacy Counsel, Contracts & Proposals Manager, and insurance broker as required to analyze and address contracting risks.
Juris Doctor degree from an accredited law school and a member in good standing of the Colorado Bar or the Bar of the supreme court of the state in which he or she practices.
Between 4-7 years of legal practice.
At least 3 years of commercial contracting experience.
Proven track record of exercising excellent judgment on behalf of clients in complex contract, negotiation, and dispute resolution matters.
Demonstrated discretion handling sensitive and confidential information.
Excellent written and oral communications skills in public and private settings with diverse audiences; ability to translate complex contract issues at all levels of an organization.
Strong interpersonal skills, able to collaborate with team members, staff, customers, clients, regulatory officials, and external audiences.
