As our Counsel, Commercial and Strategic Transactions, your primary responsibility will be focus on commercial, business & strategic transactions and general corporate law, both within the United States and for our operations in the Americas. This position interacts with fellow in-house legal personnel and all corporate business units and departments with minimal assistance from outside counsel. Additionally, you will perform legal analysis and provide timely, effective and practical legal guidance in a fast-paced, dynamic in-house setting.

What you'll be doing
Identify, analyze, assess, and communicate legal risks to enable internal clients to make quality, risk-adjusted business decisions
Draft, review, analyze, structure, negotiate and provide advice regarding a range of commercial, business and strategic agreements and transactions, including sales, marketing, distribution, agency, licensing, sourcing, procurement, supply, service, confidentiality, or strategic transactions (such as joint ventures, partnerships, divestitures or mergers, financings and acquisitions)
Provide professional, pragmatic and timely advice, counseling and support to internal clients
Work collaboratively with in-house legal group and outside counsel
Engage in routine interaction and privileged communications with business and technology leaders
Assist in setting policies and procedures for legal subjects and risk mitigation
Provide legal training to internal clients
Support internal Sustainability and Business Development efforts
Provide management of outside counsel

What will make you successful
Juris Doctor
3+ years demonstrated experience in subject matter area in a medium to large sized law firm or in-house legal department
Licensed to practice law in at least one state in the United States
If not licensed in Pennsylvania, then willing and able to secure at least an in-house license in Pennsylvania
Professional maturity with a high level of discretion and integrity
Ability to work independently and as part of a dynamic team
Willingness to continually learn and develop expertise in new subject matter areas
Excellent analytical skills and ability to think strategically
Ability to manage work with outside counsel
