The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
Represents company on commercial matters, regulatory matters, and disputes. Prepares legal documents. Advises management on legal risk. Ensures compliance with legal obligations to protect company against legal liability.
ESSENTIAL JOB FUNCTIONS / PRINCIPAL ACCOUNTABILITIES:
A teammate in this position must have the ability to:
Advise management on a full range of commercial legal issues, including, but not limited to, commercial negotiation strategy, legal risk management, and new product legal risk.
Negotiate and draft purchase, distribution, and third-party service agreements.
Provide interpretation and advice on regulatory matters.
Effectively manage outside counsel in defending litigation matters and regulatory actions.
Advise management on litigation strategy.
Perform legal research, evaluate and assess legal risks involving the organization.
Monitor developments in national, state and local laws, and educate senior management, merchandising and operations professionals on such developments.
Oversee investigations of legal and regulatory matters and provide advice and counsel on handling such situations.
Provide advice on operational policies and procedures.
Create training materials and provide training on legal issues to management, merchandising and operations professionals.
Develop strategic goals, and work with management to implement those goals.
Accept and handle other matters assigned by the General Counsel or the attorney’s direct manager.
Have a Juris Doctorate (J.D.) degree and be licensed to practice in at least one state.
Have five or more years of legal experience.
Have experience with commercial contract negotiation and drafting, litigation, and regulatory matters.
Have integrity, confidence, together with good interpersonal skills, and the ability to be persuasive and relentless in reinforcing the best interests of the company.
Be an effective communicator.
Have a strong work ethic.
Be able to travel as needed.
Have basic proficiency in Word, Excel and PowerPoint.
