The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
The Senior Corporate Counsel position will be responsible for working on a variety of corporate legal matters with a focus on M&A, SEC and public company projects, and general commercial matters and will work closely with the Company’s senior management team, business development and finance functions. Responsibilities will also include managing outside counsel.
What You'll Do: • Draft and negotiate M&A transaction agreements and manage all legal aspects of acquisition or disposition transactions • Assist in the preparation and review of securities filings (e.g., 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statement, press and earnings releases, investor relations presentations) • Assist with capital markets transactions and associated legal documentation (e.g., offering documents and registration statements) • Oversee securities law administration and compliance (e.g., equity incentive plan matters, securities trading policy administration, Regulation G, Regulation FD, transfer agent oversight and matters with respect to other securities laws and NASDAQ requirements) • Develop and review corporate governance materials, including resolutions, minutes and other meeting materials for meetings of the Board and its committees
Education:
Juris Doctorate from a top U.S. law school
Member in good standing of a U.S. state bar
Required Experience: • General corporate, transactional and securities law experience is required • 5 to 12 years of experience as a corporate attorney in a large law firm or in-house
Knowledge, Skills, & Abilities: • Strong analytical, writing and communication skills • Ability to interface successfully with senior leaders • Ability to handle multiple projects and matters comprehensively and with great attention to detail • Excellent business judgment and the ability to assess and advise on legal risks • Team player with the ability to work with all levels of the organization • Ability to manage and mentor team members • Manage outside counsel and associated spend
