As Legal Counsel, you will support and advise the business in a wide variety of areas including commercial support, corporate support, and compliance. This position will report to Sr. Corporate Counsel and is located in Everett, WA.
Act as a Legal business partner to ASP and many of its affiliate operating companies to mitigate legal risk.
Advise on all aspects of commercial relationships, including review, drafting, and negotiation of contracts, primarily for manufacture, sale and distribution of ASP and affiliated entities’ products and services.
Support Sr. Corporate Counsel in advising executive management on a variety of agreements such as customer sales agreements, distributor agreements, license agreements, SaaS agreements, confidentiality agreements, consulting agreements, development agreements, and supply agreements.
Review and analyze legal terms and conditions associated with purchase orders, bids and proposals.
Proactively make recommendations to management to improve contract templates, playbooks, processes and policies.
Manage contract lifecycle system and track key attributes.
Provide training and updates to commercial teams in areas such as legal escalation, contract review & management.
Identify and address operational and legal issues associated with contracts and seek advice from internal business groups such as engineering, manufacturing, sales, marketing, procurement, quality, compliance, legal and other subject matter experts.
Provide exceptional customer service to internal and external customers and build strong relationships.
Participate in successful ideation of legal innovation initiatives.
Who You Are:
Results-driven, proactive, and thrive working in a fast-paced environment where change is constant.
You have strong commercial experience, including contract review, negotiation, and management with excellent judgement.
You are courageous and comfortable asking questions of all leadership levels.
You have a 3+ years of experience practicing law within a legal department of a global company or comparable relevant legal experience.
You have a JD from an accredited university and licensed member in good standing in at least one US jurisdiction.
