Some public company experience preferred.
- Law degree from top-tier law school
- Mergers, acquisition, venture capital and start-up investments required
- Member in good standing of at least one state bar
- Excellent communication and writing skills
- Good business judgment and sound-decision making in balancing risk, opportunity and business objective
- Strong interpersonal skills, capable of building strong relationships with and influencing client groups
- Hardworking and results-oriented
- Ability to successfully manage multiple priorities in a fast-paced environment
- Ability to work independently, making decisions that have both legal and business impact

What You’ll Do The Corporate Counsel will be a member of Stanley Black & Decker’s corporate legal team. This attorney will report to the senior attorneys on the General Counsel’s leadership team and will be responsible for a wide variety of general corporate, transactional, public company and compliance matters. This attorney will also play an important role supporting others on the legal team with commercial agreements and advice. Specifically, you’ll: - Assist with mergers, acquisition, divestitures, joint ventures and venture capital and start-up investments
- Assist with potential public and private securities offerings as well as other corporate financing matters including credit agreements, commercial paper programs and other Treasury matters
- Assist with the preparation and review of reports filed with the SEC including Forms 10-K, 10-Q and 8-K, the proxy statement and Section 16 reporting, as well as related-NYSE rules and regulations
- Assist with the preparation for the Company’s quarterly and annual earnings announcements, including the Company’s press releases, conference calls and presentations
- Oversee the company’s subsidiary management process
- Assist with the preparation and distribution of board and committee materials, including the research of corporate governance issues
- Assist with executive compensation and equity compensation administration as needed, including stock and incentive plans and related agreements
- Manage complex and sensitive projects and with cross-functional teams
- Draft, review, negotiate and interpret a wide range of commercial agreements in support of various company departments, including confidentiality agreements, vendor, customer and supplier contracts
