The Position
Located at IRI’s corporate headquarters in downtown Chicago, and reporting to IRI’s Chief Legal Officer, this is a unique position for a strategic and pragmatic commercial generalist with good organizational ability, keen negotiating skill and strong business acumen to globally support IRI’s technology offerings, as well as handle a variety of other commercial matters arising out of IRI’s operations. Currently, the legal team is working from home. A return to the office has not been scheduled.
Responsibilities
Review, draft, negotiate and interpret a variety of key complex agreements, including but not limited to, software, technology, media and data licensing agreements with retailers, data suppliers and customers.
Provide ongoing and proactive strategic advice regarding contractual and business risks and counsel on contract interpretation and potential dispute issues.
Ensure that all agreements accurately reflect IRI’s business objectives and comply with all laws and regulatory requirements.
Work closely with IRI management and law department on strategic initiatives affecting contracts and commercial issues.
Participate as a member of IRI’s legal department in providing advice and counsel on a variety of commercial legal matters that may arise out of IRI’s business.
Qualifications
J.D. degree from an accredited law school with proven academic success.
A minimum of 8 years relevant commercial generalist experience, including hands on experience reviewing, drafting, negotiating and interpreting a variety of key sophisticated agreements, specifically, software, technology and data licensing agreements. Law firm experience followed by in house experience is desirable, as is industry experience in business services, technology, software and/or professional services. Global experience is a plus.
Ability to provide pragmatic advice and counsel on antitrust matters as they arise.
Strong business acumen and the ability to understand IRI’s business, to quickly focus in on the aspects of an agreement or transaction that matter the most to the business, and be proactive in addressing potential issues.

Excellent client management skills, with the ability to inspire confidence and trust with senior management and other professionals at all levels of the organization by virtue of professional competence, personal integrity and personal style.
