ArcelorMittal USA is one of the largest steelmakers in North America and serves a broad U.S. manufacturing base. In the United States, ArcelorMittal owns and operates 25 facilities, including mines, integrated steelmaking facilities, mini-mills and finishing operations. In the U.S., ArcelorMittal employs more than 18,000 people with industrial operations in 12 states and a presence in 15 states.
ArcelorMittal USA is in the process of being acquired by Cleveland-Cliffs. Founded in 1847, Cleveland-Cliffs is among the largest vertically integrated producers of value-added iron ore and steel products in the North America. In March 2020, the Company completed the acquisition of AK Steel. From mining to pelletizing to the development and production of finished high value steel products, Cleveland-Cliffs is the only company uniquely positioned to supply both customized iron ore pellets and flat-rolled carbon, stainless and electrical steel products in the United States. Once finalized, the acquisition will create the largest vertically integrated flat rolled steel producer in North America. The acquisition is expected to close in December, 2020.
Located at ArcelorMittal USA’s offices in the Chicago Loop, this is an outstanding opportunity for an energetic, versatile commercial attorney with relevant experience and strong interpersonal skills to join Cleveland-Cliffs/ArcelorMittal USA’s Law Department and efficiently and cost-effectively support the company’s Procurement activities.
The Commercial Counsel responsibilities include:
Review, draft and negotiate a wide variety of commercial agreements arising out of Cleveland-Cliffs/ArcelorMittalUSA’s operations, including: procurement of raw materials, contractor, engineering, transportation, real estate and equipment leases, consulting, non-disclosure, IT, and settlement and release agreements.
Provide ongoing and proactive strategic advice on contract interpretation, including warranty, indemnity, termination rights and other potential dispute issues. Manage pre-litigation and litigation disputes as they may arise under the supervision of the Associate General Counsel-Litigation.
Conduct legal analysis and provide proactive counsel on laws, rules, regulations, and policies related to Cleveland-Cliffs/ArcelorMittal USA Procurement activities. Consistently guard against and provide timely evaluation of potential risks in contractual, regulatory, and other legal areas. Keep informed of industry specific regulations and ensure that appropriate legal risk management strategies are in place.
Handle other commercial matters or projects as required.
A J. D. from a top law school, with proven academic success.
At least 5-7 years’ relevant experience, (preferably in both a law firm and in house setting) independently reviewing, drafting and negotiating a variety of sophisticated commercial agreements on behalf of a large manufacturing or industrial company. Experience with agreements relating to procurement, logistics, raw materials and complex industrial contractors is desired.
Strong business acumen and the ability to understand Cleveland-Cliffs/ArcelorMittal USA’s business, to quickly focus in on the aspects of an agreement or transaction that matter the most to the business, and be proactive in addressing potential issues.
Proven ability to cost-effectively and efficiently manage pre-litigation and litigation disputes
Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels.
