For information about Novelis, please visit: https://novelis.com/about-us/ Role Overview The Senior Counsel, Commercial Transactions, reporting to the Assistant General Counsel, will be responsible for (a) partnering with our Global Procurement function as one of the lead attorneys for the purposes of contract drafting, review, negotiations, training and counseling of business partners, (b) supporting the Legal Operations and Global Contract Management teams on contracts administration and data analytics, and (c) engaging with the corporate legal team on other commercial contracting matters, mergers and acquisitions, securities, financings, joint ventures, strategic projects, IT, derivatives, compliance and real estate matters. As part of the Corporate legal team, the Senior Contracts Counsel will routinely collaborate with the regional legal teams across South America, Europe, Asia and North America on global projects and for sharing best practices. Responsibilities - Partnering with business leaders and procurement team members, lead the review, structuring, negotiation and execution of a wide variety of complex regional and global commercial arrangements
- Establish and maintain a strong business partnership with Global Procurement, legal, and other business teams to facilitate achievement of business priorities
- Develop and implement legal and contracts compliance strategy, global best practices, templates, tools, playbooks and associated policies, and training for commercial contracting matters
- Drive alignment among legal and procurement teams for contract administration, negotiation, and managing legal risk
- Prepare and update Novelis form agreements, and implement training plan and tools to rollout updates in collaboration with regional counsel teams
- Liaise with Legal Operations team to support and develop contract benchmarking guidelines, develop and monitor contract performance, and data analytics
- Identify and execute upon process improvements and optimization of technology to drive operational excellence, standardization, and best in class legal services
- Guide business leaders on legal issues arising from vendor and customer relationships and provide practical business-oriented legal solutions, including resolving contract disputes prior to or in connection with litigation or alternative dispute resolution processes
- Collaborate with internal subject matter experts with regard to intercompany transactions
- Support other members of corporate legal team on a variety of matters such as M&A, securities financings, joint ventures, strategic projects, IT, derivatives, compliance and real estate
