The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
This position reports directly to the Assistant Corporate Secretary and Senior Attorney. The role will be responsible for assisting and handling a broad range of corporate governance, disclosure, securities law and other matters, including matters related to the Board of Directors and Committees of Atlas Air Worldwide Holdings, Inc. and its subsidiaries (collectively, the "Company").
Ensure compliance with applicable federal and state laws, rules and regulations and provide legal advice and support to various Company departments.
Assist with the preparation of SEC filings, including Forms 10-K, 10-Q, 8-K, S-3, S-8, Schedules 13D and G and Section 16 filings.
Ensure compliance with SEC and NASDAQ rules and requirements
Assist in preparing for annual shareholder meetings, including "D and O" questionnaires, proxy statements, scripts, and meeting planning and logistics
Work closely with the Executive Compensation and Benefits Counsel on long-term incentive compensation plan matters and help administer Insider Trading Policy and 10b5-1 plans
Advise Company management with respect to disclosure issues (including Regulation FD) and securities law developments impacting the Company
Assist in providing legal advice and support to internal clients, including the General Counsel, the CEO, the CFO, the Controller, the Treasurer, Investor Relations and Corporate Communications
Review and negotiate legal agreements, contracts and other documents as required
Proactively monitor legal and practical developments and trends in corporate governance, ESG, federal and state securities laws
Assist with the management of corporate governance and corporate secretarial matters, including Board and Committee support, Committee charters and related governance matters and Company policies, as well as providing legal advice on corporate governance matters
Assist the General Counsel, the CFO and others in connection with the Company's shareholder outreach program
Assist with updating and maintaining Company web site with relevant corporate information, including FAQ’s, charters and public releases or filings
Assist in supervising activities of outside stock transfer agent
Perform general corporate housekeeping functions and proactively directing the administration of subsidiary companies, including general governance requirements, the preparation of resolutions and consents, certificates of incorporation, and certificates of dissolution, etc.
JD Degree, required
New York bar admission preferred
Eight to ten years' experience in the areas of securities laws and corporate governance, with a meaningful portion of such experience at a leading law firm; experience in-house at an SEC reporting company a plus
Demonstrated broad experience in 1933 and 1934 Act filings with strong knowledge of SEC rules and regulations
Strong knowledge and good understanding of corporate governance trends, issues and emerging hot topics
Strong knowledge of public company Board and Committee functions and matters
Familiarity with NASDAQ stock exchange regulations, Sarbanes – Oxley and Dodd - Frank
Ability to possess sound and practical business judgment and decision making skills
Ability to interact with members of the Board of Directors and senior management
Strong oral and written communication skills; ability to communicate effectively and persuasively; ability to work independently and as part of a team
Strong leadership skills and the ability to handle multiple projects simultaneously
