Corporate, General Commercial/Contracts, Transactions
The Legal Affairs & Compliance group provides legal services to support the operation and strategic initiatives of the Sartorius group of companies. As Regional Counsel, you will be an integral member of the legal team at Sartorius. Reporting to Head of Legal Affairs, Americas, you will work closely with other members of the global Legal Affairs & Compliance group as well as with members of the organization on contracting and other initiatives to advance compliance and transactions. Specific responsibilities include addressing the legal and compliance terms in contracts, contract drafting, policy development, issue resolution, and analysis of existing and evolving applicable federal and state regulations. The position offers the opportunity for professional growth and development in a highly collaborative work environment and requires the ability to interact effectively with internal and external customers.
Primary Duties and Responsibilities
Assist sales and other internal customers with the negotiation and management of various types of commercial transactions, including supply and service agreements, Material Transfer Agreements, Research and Collaboration Agreements, RFPs, IP licensing, joint development, Demo and Evaluation Agreements, and procurement transactions
Use a business-oriented approach to problem solve, communicate legal issues and give real-world advice while assessing risk and legal ramifications
Prepare supporting legal documents such as briefs, contracts, board resolutions, and other filings as needed
Provide strategic, timely and high-quality legal guidance to managers and corporate leadership
Assist in the supervision and direction of outside counsel as may be necessary
Actively contribute to the legal team in the ongoing development of knowledge, skills and processes and lead legal initiatives and special projects as required
Perform other related duties as assigned
Skills and experience that you need to bring to our company:
Juris Doctor degree from an accredited law school
Licensed and admitted to practice law in NYS or another state
A minimum of three years of applicable legal experience
Excellent drafting skills and experience
Experience with commercial transactions and intellectual property strongly preferred
Experience in data privacy and commercial litigation will also be considered
Experience in Biotech/Pharma/Life Sciences industry, a plus
Strong analytic skills and the capacity to assess the business and legal terms of transactions
Interest in and capacity to work well as part of a team
Ability to take initiative and work independently
Willingness to learn and tackle new areas of law or legal problems
Excellent problem-solving abilities, organizational, verbal communication and interpersonal skills
Some international travel required (10-15%)
