About the Technology Legal Department:
GLCR’s Technology Legal department provides strategic and practical advice on a wide range of transactional, legal compliance and operational risk management matters in support of AIG’s Global CIO and the IT department worldwide. The Technology Legal team consists of a core group of seven US based attorneys and an extended group of international attorneys. This team provides AIG with deep and broad subject matter expertise and counseling regarding legal issues arising in corporate technology operations in regulated industries.
The Technology Legal department is currently seeking an experienced (mid- to senior-level) outsourcing and technology transactions attorney to: (1) draft and negotiate complex technology transactions, including IT outsourcing agreements, transition services agreements, software-as-a-services/Cloud and web hosting agreements, software license and maintenance agreements, reseller agreements, and hardware purchase agreements; (2) advise AIG business units on legal issues related to IT transactions, including issues relating to cloud computing, data privacy and cybersecurity; and (3) advise and support AIG’s Information Technology (IT) and Global Sourcing & Procurement Services organizations with respect to vendor management and sourcing negotiations. In addition, the successful candidate will monitor and track legal and regulatory developments, conduct primary research and analysis, draft memos, draft and review corporate communications, and advise internal clients, both verbally and in writing, all with a minimum of reliance on outside counsel.
The individual hired for this role will report to the Associate General Counsel, Head of Technology Transactions, and will work closely with the other core and extended members of the Technology Legal team, as well as other GLCR professionals.
This position will be joining the Technology Legal department based in New York City, but remote candidates will be considered on a case-by-case basis.
Draft and negotiate multi-jurisdictional technology outsourcing agreements; technology-related provisions in merger/acquisition/divestiture-related agreements, including transition services agreements; and complex technology agreements.
Advise with respect to legal issues and risks, complex deal structures, approval processes, company policies, procedures and negotiation strategies.
Summarize and communicate legal concepts for use by business people.
J.D. degree from a top law school and license to practice law in the hiring location.
Preference will be given to candidates who have worked at least 4 years at a large national law firm and/or at least 8 years at a large financial services company.
The ideal candidate will be an experienced attorney with with experience in outsourcing, complex technology transaction, and IT/IP-related merger and acquisition experience.
Experience with intellectual property, data privacy and/or data security matters is also desirable.
Excellent organizational skills, detail-oriented, and able to complete projects and other assignments efficiently, timely and with a minimum of supervision.
Superior written and verbal communication and analytical skills enabling timely, proactive and practical identification and communication of legal issues and risks.
Solid interpersonal skills and able to interact with stakeholders to identify issues and recommend solutions.
A positive, energetic, collaborative, and team-oriented approach to working with colleagues and clients.
Able to navigate large, multifaceted, and international organizations, including working across time zones.
A high degree of independent motivation and judgment, as well as the ability to work directly with a wide variety of GLCR personnel, IT Department staff, business unit personnel and outside counsel.
