The Deputy General Counsel is responsible for providing strategic legal and business advice in various areas, including labor and employment, corporate governance (including serving as Assistant Corporate Secretary), litigation management, commercial contracts, marketing, franchising, and risk management.
Essential Duties and Responsibilities:
Reporting to the Chief Legal Officer, the Deputy General Counsel will function in several primary roles:
Trusted advisor to internal clients, including senior leadership team members, on legal strategy, employment law, pre-litigation disputes and litigation management, securities law and corporate governance, commercial transactions, and regulatory and corporate compliance.
Member of Legal & Risk Department leadership team, including people management responsibilities.
Assist the CLO in overseeing the strategy and execution of activities related to corporate law and litigation, labor relations, labor and employment law, franchise law, regulatory and compliance matters, contracts, securities law, workers compensation law, general liability law and wage and hour claims.
Assistant Corporate Secretary.
The Deputy GC will advise internal clients, including senior leadership and the Board of Directors, in an objective and unbiased manner, constructively helping the company to achieve its business objectives within legal and ethical constraints. The successful candidate will be highly intelligent, an energetic self-starter, an experienced manager with good business sense, and a true believer in a servant-leader corporate culture. The ideal candidate will have expertise in the following areas: employment law, corporate governance, public company matters, regulatory issues, franchising, advertising/marketing support, intellectual property procurement and enforcement, and commercial transactions.
Provide leadership within the legal department and to internal clients, manage retained law firms cost-effectively while producing consistently excellent outcomes, and ensure that both the cost and quality of outside legal services meet expectations.
Oversee the management and execution of matters relating to litigation, labor and employment law, risk management and all other compliance matters.
Support and advise the Human Resources department concerning personnel issues.
Identify and communicate the potential legal implications and risks of evolving patterns of employment and general liability litigation in the restaurant industry.
Monitor developments in the restaurant industry and federal law and state law in each state in which the company is doing business and assist to ensure that the company has developed appropriate systems, controls, procedures, and compliance reporting mechanisms to deal with anticipated statutory requirements.
Assist with Company’s SEC and public filings, corporate governance, including board and committee operations, corporate secretary function and oversight of organizational documents, corporate minute books, policies and board guidelines.
Assist CLO in managing legal affairs associated with the Company’s franchise systems and Company owned operations.
Assume lead role in negotiating, structuring, drafting and/or reviewing commercial contracts and licensing agreements.
Provide legal and business advice to Marketing department in the areas of advertising and claims review and support, promotions, contests/sweepstakes, licensing, and agency management
Take a lead role in overseeing EPL’s regulatory and corporate compliance program, including Code of Conduct maintenance, investigations, and employee training.
Assist in managing risk management matters, including General Liability and Workers Compensation matters, insurance procurement and coverage, and restaurant and employee safety and security.
Manage legal affairs associated with the Company’s intellectual property portfolio including providing legal support associated with the Company’s consumer products and food service licensing activities.
The VP, Deputy General Counsel has typically 1-3 employees reporting into this position. The role has full authority to hire, develop, appraise, promote, reward, discipline, transfer, and approve time and attendance of team members.

Education and/or Experience:
J.D. from a well-respected law school required and early training at a large law firm highly preferred. 10+ years of legal experience, including serving as a Deputy General Counsel, Associate General Counsel, or senior leader within the legal department of a similarly sized or larger company. Employment Law experience is a must, and public company experience is highly preferred.
Minimum of 10 years of attorney experience, including a minimum 3-5 years of in-house experience as an attorney within the legal department of a similar-sized or larger corporation.
Significant demonstrated experience and expertise in Employment Law, including advice and counsel as well as management and effective resolution of pre-litigation and early litigation matters.
Expertise in cost-effective complex litigation management and a track record of consistent excellent outcomes.
Experience and ability to negotiate significant commercial transactions and agreements (settlement agreements, contracts, separation agreements, etc.).
Solid, tested judgment and experience in serving as an advisor to internal clients and senior management either directly or through client relationships.
Demonstrated ability to think in a rigorous, strategic manner as a business person.
Significant experience with SEC and corporate governance issues and laws preferred.
Experience with Board and committee operations, corporate secretary function and oversight of organizational documents, corporate minute books, policies and Board policies preferred.
Franchising or multi-unit retail expertise; ability to navigate the nuances of franchisee/franchisor relationships preferred.
Licensed to practice law in at least one U.S. jurisdiction, preferably California
