The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
MSCI is seeking to hire a governance and securities attorney who has experience in one or more of the following areas: corporate governance, capital markets, credit and executive compensation at a top law firm. This position reports directly to the Corporate Secretary and Chief of Staff of the CEO.
Scope of Responsibility:
Assist in the preparation of and oversight of the filing of MSCI's 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports (Forms 3, 4 and 5) and other SEC-related documents and contribute to public company communications, including press releases and shareholder letters
Advise the Board, C-level executives and other senior management (including heads of finance, compensation and benefits and investor relations) generally with respect to disclosure matters and NYSE, SEC and corporate law requirements, including Reg FD and non-GAAP compliance, and coordinate disclosure committee meetings
Advise on executive compensation matters and prepare employee and director compensation materials.
Assist with capital markets transactions (debt and equity)
Support public company secretarial function, including assisting with the preparation of Board and committee materials, attending Board and committee meetings, preparing meeting minutes, overseeing director onboarding, maintaining Board meeting calendars and advising with respect to corporate governance best practices (including oversight of Board approval of related party transactions)
Review employee 10b5-1 trading plans and company share repurchase programs
Assist with oversight of the corporate secretarial function for domestic and foreign subsidiaries
Supporting Treasury function, including oversight of compliance with non-investment grade debt covenants and review of ISDA-related swap documentation, including adherence with Dodd-Frank protocols
Experience as corporate attorney handling corporate, capital markets, credit, executive compensation and other legal matters for public companies at a top law firm
Strong writing skills
Admitted to New York Bar Strong written and oral communications skills
Self-motivated with ability to work independently
Ability and willingness to work late nights and weekends, when necessary
Possess effective time management skills, with ability to intelligently prioritize tasks and produce high quality work under compressed time frames
Exhibit sound judgment
Team player with ability to work well across various functions; initiate and coordinate projects
Strong analytical skills, attention to detail and thoroughness in approach
Candidate Profile: 6+ years experience, admitted to New York Bar
Minimum of two years law firm experience
