Empower Energies is seeking a full-time in house attorney with prior experience in closing of solar energy transactions for new project developments as well as project acquisitions. This position reports to the General Counsel and will provide professional legal advice, counsel and oversight of the legal documentation and diligence to support and facilitate the financial closing of solar project transactions. Prior experience with solar transactions is required. This individual will work collaboratively with our business development, finance, and operations teams to move projects successfully through the closing process.
Support the drafting and negotiation of solar project finance documentation, including tax equity related agreements
Draft and negotiate equity related agreements on behalf of Empower, including purchase and sale, joint venture, shareholder, membership interest, contribution and similar equity agreements
Oversee diligence and provide guidance either directly or through external counsel on state and local laws applicable to Empower’s solar and renewable energy transactions
Review and help prepare responses to requests for proposals and other competitive tenders
Assist the General Counsel with M&A transactions and corporate finance transactions as needed
JD degree from an accredited law school
Minimum of 4 years of employment experience with a top law firm or corporate legal department regularly engaged in solar and renewable project finance
Experience in transactional work including renewable M&A and renewable investment structures
Ability to interact with stakeholders and leaders in a highly collaborative organization
Commitment to be a legal business partner to internal clients
A member in good standing of a state bar
Telecommuting is allowed.
