TDK U.S.A. Corporation seeks a seasoned Corporate Counsel who will serve as a member of the Company’s Law Department and report to the Vice President and General Counsel. The position requires a corporate generalist with experience handling corporate transactions, legal compliance related matters, and supervision of litigation. Responsibilities encompass a broad array of legal competencies, including contract review, transactional due diligence, intellectual property, trade control, compliance matters, and providing litigation support.
Corporate Counsel must be able to support the mission of the Law Department to implement legal solutions proactively, facilitate transactions so that business can grow, and enhance corporate compliance and governance. Flexibility to work across functions and to support growing business units for the TDK Group companies around the world is important. Corporate Counsel will have the opportunity to work with TDK’s legal departments worldwide, and provide advice on matters of US law. Corporate Counsel’s duties include:
Drafting, reviewing and negotiating legal aspects of contracts, such as purchase and supply of goods, distributor and other third party arrangements, M&A transactions, independent contractors, intellectual property licenses, NDA’s, and employment-related agreements
Providing litigation oversight and coordination with outside counsel
Maintaining and implementing corporate governance initiatives
Implementing TDK’s compliance program and compliance initiatives in the Americas
Assisting with trade control matters, including export regulations and customs compliance
Developing and providing training to TDK employees in the Americas on ethics, antitrust, anti-bribery and anti-corruption compliance and other initiatives
Reviewing and developing corporate policies regarding privacy and cyber-security
The successful candidate for this position must be able to perform each essential function satisfactorily with or without reasonable accommodation. The qualifications and working conditions listed below are representative of those required for the position.
J.D. degree from an American Bar Association approved law school and New York state bar admission required.
Minimum of four years of in-house or law firm experience directly related to the responsibilities noted above. Relevant technology industry experience a big plus.
Proven ability to prioritize, organize and manage varied workload and take initiative with projects.
Ability to work collaboratively and cooperatively with others and independently as necessary.
Strong verbal and written communication skills.
Some domestic and international travel may be required.
