VSE’s Contracts Attorney is a key member of the General Counsel’s team, providing support in two primary areas: (1) legal and administrative support for commercial contracts; and (2) overseeing international compliance requirements (EAR, ITAR and FCPA) related to commercial contracts.
This position reports directly to the General Counsel and will provide exposure to many facets of a publicly traded international company serving both commercial and government clients. The Contracts Attorney will also work closely with other executive management, including Group and Subsidiary Presidents and Vice Presidents.
Negotiate, maintain and track various types of commercial contracts.
Work with General Counsel on contract dispute resolutions and negotiations.
Lead international trade compliance efforts, including EAR, ITAR and FCPA compliance.
Assist in managing contract compliance with international host nation laws.
Assist with the preparation and review of various export licenses and Technical Assistance Agreements.
Support Contracts and Procurement staff in drafting model agreements.
Support M&A due diligence and integration matters.
Juris Doctor from accredited law school and active bar membership.
0 to 5 years in-house and/or relevant law firm experience, with commercial contracting and international trade law experience.

Areas of Responsibility:
Support business operations, Contracts and Procurement staff on various commercial matters.
Establishing contracting procedures and oversight for all commercial contracts for each of the business units.
Implement and maintain commercial contract database.
Oversight, continued development, and management of VSE’s export control program and international trade practices.
Ensure compliance with shipping requirements in support of VSE’s supply chain management efforts.
Determine export licensing requirements.
Provides formal training, day to day guidance, and internal audit support for various compliance matters.
Develop and manage internal commercial contract compliance policies, procedures and related training.
Stays abreast of changes to the regulatory environment and communicating significant changes to management and staff.
Conduct internal audits and investigations on international compliance matters.
