A geographically diversified oil and gas services company (“Company”) has exclusively retained Major, Lindsey & Africa to conduct a search for an Assistant General Counsel – International & Chief Compliance Officer to be located at its offices in The Woodlands, TX. Position: The Assistant General Counsel – International & Chief Compliance Officer (AGC & CCO) will play a key leadership role and have a high profile within the organization. He/she will serve as the primary counsel for international operations and lead the Company’s compliance function. Additionally, the AGC & CCO will be expected to add “bench strength” and be considered a potential successor to the current General Counsel in 3+ years.
Responsibilities as Assistant General Counsel – International
As Assistant General Counsel – International, the AGC & CCO is primarily responsible for providing subject matter expertise and ongoing management of the Company’s international legal affairs in support of operations. He/she will proactively identify and mitigate legal risk while helping to facilitate sales and operations outside the U.S. In doing so, the AGC will ensure business operations conform to all applicable local, U.S. and International laws and regulations. Additionally, the AGC will necessarily understand market level business objectives and strategic initiatives. He/she will develop strong working relationships with internal clients, customers as appropriate, and local counsel. Ideal candidates will have the ability to develop and direct legal strategies to promote and protect the Company and its international business operations and to ensure alignment with enterprise and segment objectives; and will also counsel and advise the executive leadership team on significant global legal matters.
Responsibilities as Chief Compliance Officer
As Chief Compliance Officer, the AGC & CCO is responsible for continued development and maintenance of the Company’s risk-based compliance and ethics program which promotes honest and ethical business practices in the daily operations worldwide. The role has a strong Foreign Corrupt Practices Act (FCPA) focus, but also includes assisting with OFAC compliance outside the United States, global import/export controls, antitrust, and effective assessment of compliance-related risks across the organization.
The CCO will be supported by a compliance attorney reporting to the CCO, work closely with Internal Audit, and report to the Audit Committee and the General Counsel.
Experience: The successful candidate will have a minimum of 15 years of relevant legal experience and 5 years of compliance experience. Ideal candidates will possess additional experience in other areas such as M&A and finance that would position them for broader high-level responsibilities within the organization.
