Vox Media has an opening for Counsel in either of our DC or New York offices who will be responsible for drafting, reviewing, and negotiating a broad range of vendor agreements supporting a variety of teams across the company, including its corporate, IT and infrastructure, office operations, revenue, analytics, and marketing teams. We’re looking for a business-minded attorney with experience in the technology and media industries who can act as a utility player for a high performing legal team. In addition to negotiating vendor, technology (software, hardware), confidentiality, and other professional services agreements, this candidate would be expected to identify, develop and implement process improvements and templates that will enhance the efficiency and scale of Vox Media’s procurement and commercial contracting. Experience working on data privacy related matters, including drafting contracts and policies and ensuring compliance, is preferred.
This position reports to the VP & Associate General Counsel while working closely with other members of the Legal Department, as well as internal business teams and external vendors. This position is perfect for an attorney early in their career who can work within a team, and is comfortable making proactive suggestions to improve process and drive efficiency.
Review, draft and negotiate commercial agreements with vendors or other partners, including professional services agreements, nondisclosure agreements, inbound software licenses, data use agreements, master services agreements and statements of work, and similar agreements.
Perform contract research and interpretation, providing contract guidance and support on day-to-day issues raised under vendor contracts, including transactional and non-transactional vendor related matters across the company’s core services and business units, including people and culture, IT infrastructure and security, insights and innovations, real estate, office operations, and editorial.
Streamline procurement processes by collaborating with the company’s leadership, finance, and business functions.
Assist other members of the legal team in advising on the company’s collection and use of data and collaborate with Information Security on the company’s GDPR, CCPA, and data privacy compliance programs.
Assist in due diligence and general corporate matters from time to time as they may arise, including contract review and analyses relating to mergers and acquisitions, financings, and complex joint ventures and partnerships.
JD and admitted to practice.
At least 2 years of relevant legal experience, either in-house or at a law firm.
Strong transactional background with solid drafting and negotiation skills.
Understanding of and experience working with modern media, publishing or technology companies.
Practical approach to legal drafting and problem solving.
Familiarity with a wide variety of legal matters including data privacy and developing laws and regulations around software and technology
Ability to identify potential independent contractor classification issues.
Resourceful, with a strong ability to balance legal risk with business needs.
Proven ability to handle multiple projects and prioritize and meet deadlines within a fast-paced environment.
Ability to deal effectively with individuals at all organizational levels.
Professional, personable, approachable and courteous demeanor.
Creative, flexible, enthusiastic, innovative, and a can-do, no job is too small, team player attitude.
