Crowe LLP is seeking an assistant general counsel for its Oak Brook, Illinois office. The person in this role will focus on supporting the firm’s Consulting Business Unit. This position will work on general commercial service and technology contracts as well as review and advise on state and local government contracts. In this role, you will do the following:
Develop a detailed understanding of each delivery unit’s service line and technology products, including the business risks and requirements for each, and understand how common contract terms relate to each;
Negotiate professional services agreements, engagement letters, software license agreements, technology-related agreements, development agreements, maintenance and support agreements, and teaming agreements, as well as related statements of work;
Research best practices for negotiation tactics and advise business personnel on how to turn contract negotiation into a competitive advantage;
Document and expand our playbook for contract negotiation for common contract issues;
Facilitate, and train personnel for, compliance with privacy laws, proper data management, and information security best practices;
Improve existing contract templates and write new contract templates as the need arises;
Perform legal research and analysis on various legal issues affecting the Consulting practice;
Manage firm risk and craft creative legal solutions; and
Use contract management software to track legal review of contracts and underlying risks and issues.
This position will report to the General Counsel and will have direct access and exposure to the Consulting Business Unit’s partners, management, and functional areas. A key goal for this position is to improve firm processes so that an inherently adversarial process – contract negotiation – feels as non-adversarial as possible. In addition to supporting the Consulting Business Unit, the assistant general counsel must manage firm risk, learn general firm practice in a wide variety of areas, and act as a driver of good business process within the firm. A successful candidate will be a leader capable of developing and maintaining close working relationships with the firm’s other business leaders.
Any candidate must possess strong organizational skills. The Legal Department manages a large volume of requests, and candidates must have the ability to fluidly manage work load in accordance with business objectives and internal client priorities. Candidates must possess excellent business judgment, strategic thinking, interpersonal skills, flexibility, willingness to work on a broad variety of legal matters, superior writing and verbal communication skills, and a strong knowledge of Microsoft Office. The position duties and responsibilities will expand as the candidate’s understanding of the business and ability to manage business risk is demonstrated.
The following experience is desired but all are not required:
Advising on a range of intellectual property matters as they relate to marketing, trade secrets, patents, and copyright
Managing compliance with document retention policies and practices
Assisting with M&A activity
Working in governmental, accounting, and/or financial regulatory sectors
7+ years of relevant experience in a law firm or in-house counsel role
Admission to a state bar, in good standing. Candidates will be required to take and pass the Illinois bar, but Illinois admission is not a prerequisite
