POSITION PURPOSE The Corporate Counsel- Supply Chain represents the Company in many supply chain/logistics contract negotiations and regulatory matters, and advises clients on a broad array of distribution, transportation and logistics legal issues. The person will also support the anti-bribery and FCPA compliance program and will assist with international regulatory and corporate work.
MAJOR TASKS, RESPONSIBILITIES AND KEY ACCOUNTABILITIES Contract drafting and negotiation and related client counseling for multiple business clients, including distribution, transportation and logistics. E-commerce, delivery and IT contracting experience preferred. Support anti-bribery/FCPA compliance program, including investigatory work, counseling and research projects. International trade regulatory support for company import and export operations. Manage outside counsel.
NATURE AND SCOPE Reports to Associate General Counsel – International, Supply Chain & Regulatory. Areas of specialization are contract negotiation, international trade regulatory, business law and corporate governance. Some direct responsibility for supervising others.
ENVIRONMENTAL JOB REQUIREMENTS Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable. Typically requires overnight travel less than 10% of the time.
MINIMUM QUALIFICATIONS Must be eighteen years of age or older. Must pass the Drug Test. Must pass Background Check. Must pass pre-employment tests if applicable. Must pass pre-employment tests if applicable
EDUCATION REQUIRED The completion of a Juris Doctorate and required certifications for practicing law.
YEARS OF RELEVANT WORK EXPERIENCE - 5-12
Certificates/Licenses – Licensed to practice law in at least one U.S. state
PHYSICAL JOB REQUIREMENTS Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.
PREFERRED QUALIFICATIONS Current in house or law firm experience with significant supply chain contract negotiation skills, FCPA compliance and supply chain regulatory experience.
KNOWLEDGE, SKILLS, ABILITIES AND COMPETENCIES Project management and client service skills, including the ability to work as a team member to maintain project time-lines and foster strong relationships with business clients and team members. Experience analyzing laws, regulations and contract trends for potential impact on applicable business goals and objectives. Proven drafting skills. Ability to articulate business needs clearly and accurately and present clear and concise solutions allowing business clients to make strategic decisions. The ability to manage outside counsel. The ability to work independently on numerous activities and prioritize them while meeting deadlines. The ability to confront difficult issues in a professional, assertive and proactive manner. The ability to aggressively tackle new responsibilities and initiatives prior to receiving sufficient training High degree of oral and written communication. Strong analytical skills. Proficient in Microsoft Office (Word, Excel, Outlook and PowerPoint).
