TherapeuticsMD is seeking a motivated and entrepreneurial lawyer to serve as corporate counsel. Reporting to the Associate General Counsel, the lawyer in this role will serve as a generalist, acting as an integral member of the company’s legal team by advising senior leaders on all legal matters affecting the company, including business transactions, litigation, IP, M&A, compliance, managing the company’s contracting process, and supporting the development of the legal and compliance departments.
Negotiate and draft a wide variety of commercial contracts in the areas of product development, clinical trials, licensing, strategic alliances and collaboration; consulting, pharmaceutical service and distribution agreements, co-marketing and/or co-promotion agreements, supply, vendor, and confidentiality agreements;
Maintain working knowledge of the regulatory and industry requirements with respect to the Company’s business;
Experience with commercial sales and marketing activities;
Experience with corporate transactions (M&A, joint ventures);
Provide clear legal advice and practical business-focused solutions enabling the business to achieve its objectives while preserving and protecting the company’s integrity and reputation;
Generalist-level understanding in any number of subject matter areas such as litigation, compliance, etc.
Other responsibilities will be assigned periodically, including potential involvement in litigation support and preparation of regulatory filings.
3-5 years of experience in a law firm, governmental agency, and/or in-house role;
Admission to practice in at least one state or the District of Columbia;
Excellent strategic and analytical skills, strong communication and presentation skills, and the ability to work well independently and on a team;
Excellent judgment, particularly in determining the significance of legal matters; and
Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at all levels throughout the company
J.D. degree from an accredited U.S. law school with a strong academic record
Large law firm experience is preferred
Pharmaceutical/clinical/life sciences background will be helpful
