Our client is a diversified alternative asset management company that is seeking a junior to mid-level associate with a major law firm to join their growing legal department. The successful candidate should have corporate transactional experience, with a preference for a strong generalist in corporate matters with a focus on mergers and acquisitions and experience with some of the following areas: private equity, hedge funds, securities and structured finance.
Key areas of responsibilities for this role include the following:
Acquisitions and Joint Ventures. Taking the lead in all phases of the acquisition of asset management businesses and the structuring of joint venture and other partnership arrangements, as the firm continues to grow the platform with a view to a possible initial public offering and listing of its shares.
Fund Structuring and Organization. Taking the lead in fund structuring and formation, in particular in connection with the firm’s private equity, CLO and structured finance businesses. This includes the preparation and/or review of offering memoranda, investment management agreements, subscription agreements, administration agreements, custodian agreements, etc.
Regulatory and Compliance Oversight. Coordinate the firm’s regulatory permissions and compliance monitoring, including with reference to global insider dealing/market abuse regimes, disclosure of interests regimes, takeover statutes and antitrust statutes and other regimes specific to M&A and event-driven strategies.
Transactional and Special Situations. Coordinating with external counsel and negotiating transaction documents for a broad-range of investment strategies, focusing on special situation transactions involving litigation, blocking stakes, minority rights and exits, takeovers, as well as bankruptcy proceedings and work-outs.
Prime Brokerage and Financing. Reviewing and negotiating prime brokerage agreements ISDAs, repurchase agreements, LSTA documentation, and revolving credit and other financing agreements.
The successful candidate will be intelligent, hands-on, have a very high level of attention to detail and have a strong track record in a major highly regarded U.S. law firm. Three to six years with a major law firm; broad based corporate experience and a strong academic record from top schools.
