Provide business-oriented legal advice, support and recommendations to business unit managers and functional organizations within the corporation and its subsidiaries across the globe.
Legal support for the internal business partners within the company’s sales and marketing department and review, draft and negotiate customer contracts, pricing and rebate agreements and arrangements, distribution and sale agreements, marketing and sponsorship promotions and agreements, and independent sales representative arrangements.
Legal support for the the supply chain, purchasing, and information technology organizations within the business providing support in the reviewing, drafting and negotiating all types of contracts and agreements such as purchase agreements, sourcing/supply agreements, information technology agreements, real property leases and consulting and confidentiality agreements.
Advise business unit managers in evaluating transactions for compliance with price discrimination and anti-trust laws, anti-bribery laws, trade laws compliance, the False Claims Act, Anti-Kickback Statute and Medicare/Medicaid regulations.
Support QA/RA organization on regulatory compliance matters including submissions to the U.S. Food and Drug Administration (FDA) and other regulatory agencies in the U.S. and worldwide.
Review and evaluate marketing literature, advertisements and other labeling for the Company’s Class I and Class II medical devices for compliance with the Federal Food, Drug and Cosmetic Act and the FDA’s implementing regulations, and other applicable laws (e.g., fair competition laws).
Provide support for business development and commercial operations in transactional projects, including drafting letters of intent, performing due diligence reviews and supporting business transactions such as mergers and acquisitions, joint ventures and strategic alliances.
Provide legal support to the Data Privacy function
Manage litigation matters, coordinate internal discovery process and manage and advise on e-discovery and records retention matters.
Support the intellectual property process including patents and trademarks as needed
Complete all required training applicable to assigned position.
Exhibit positivity, flexibility, creativity and a willingness to take on new responsibilities as requested or required.
Juris doctor degree from an accredited S. law school
Admitted in Good Standing to the practice of law in the State of Ohio or with eligibility to be admitted by waiver into State of Ohio if required
7+ years broad based legal experience practicing law with a leading law firm and with corporate law department experience preferred
Excellent analytical, written and verbal communication and interpersonal
Medical device experience preferred
Ability to thrive in a fast-paced business environment and skilled at managing multiple priorities
Self-starter with ability to work well independently or in a team setting, as well as the ability to identify and resolve legal issues quickly and effectively
Ability to clearly translate into lay terms and effectively communicate legal advice with all levels of the organization which affects business opportunities and drives solutions
Commitment to high standards of quality and ethical behavior
Ability to exercise sound business judgment
