Reporting to the Chief Legal Officer, the Associate General Counsel, Corporate, Securities & Assistant Secretary provides high-quality, timely, innovative and proactive legal support for Tupperware Brands Corporation’s SEC reporting, securities compliance and other capital markets, corporate governance and transactional matters.
Responsibilities include, but are not limited to:
• Primary responsibility for SEC and NYSE reporting and compliance matters, including the preparation of current and periodic reports, proxy statements, registration statements and Section 16 filings. • Working closely with and advising corporate finance, executive compensation, treasury, investor relations and communications colleagues on securities issues, disclosure matters and external reporting. • Assisting the Chief Legal Officer in supporting the Board of Directors, including developing agendas, preparing Board materials and minutes, and onboarding new directors. • Overseeing the custody and supervision of the minute books and other corporate records of the Company and its worldwide subsidiaries. • Providing legal support on debt financing, partnerships, mergers and acquisitions and other strategic transactions, including by coordinating internal teams, managing due diligence activities and working with outside counsel. • Supporting the governance of executive compensation, equity and incentive compensation plans. • Providing legal support for general corporate matters supporting the day-to-day operations of the Company. • Helping to develop, implement and continually improve various Company and department processes and procedures. • Other duties as assigned.
Qualifications / Skills:
• Solid business acumen and a practical, business-focused approach to providing legal advice. • Strong project management, analytical, negotiation, and organizational skills. • Clear and concise oral and written communication. • Ability to work with sensitive and confidential information. • Self-motivated with critical attention to detail and deadlines. • Ability to work well both autonomously and within a team in a fast-paced environment. • Strong interpersonal skills to establish and maintain collaborative relationships with a large multi-cultural and international employee base and a sales-driven culture. • Ability to work directly with, and earn the trust and confidence of, senior management. • Highly self-confident in representing the Company to various audiences. • Prior experience managing lawyers, legal staff and outside counsel preferred.
Education and Experience:
• J.D. degree from an ABA accredited law school. • Membership in the Florida Bar or ability to obtain admission or Authorized House Counsel status within six months. • Minimum of 8-10 years of demonstrated experience representing public companies, with subject matter expertise in the ’33 Act and ’34 Act, corporate governance, public securities offerings, SEC/NYSE/SOX compliance, debt instruments, executive compensation and complex corporate transactions. • In-house experience with a global public company strongly preferred.
