Corporate in-house counsel position providing legal advice and support to the commercial, finance and corporate support teams, focused primarily on contracting, corporate governance, corporate finance, and related regulatory matters. The ideal candidate will be a corporate generalist with superior academic and professional credentials, a strong background in handling diverse legal issues and a business-oriented approach to solving legal problems.
Negotiate, review, draft and revise contracts, regulatory filings and other legal documents
Provide accurate and timely counsel to executives on a variety of legal topics (contracts, mergers/acquisitions, corporate governance,corporate finance, etc.)
Coordinate with compliance and finance teams to develop internal governance policies and regularly monitor compliance
Research and evaluate different risk factors regarding business decisions and operations
Apply effective risk management techniques and offer proactive advise on possible legal issues
Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
Monitor regulatory requirements and developments to ensure compliance with applicable laws and regulations
Deal with complex matters with multiple stakeholders and forces
Juris Doctor degree from accredited university
7-10 years of experience practicing law, preferably at least 1 year of in-house counsel experience
Solid understanding of substantive laws and regulations applicable to US public companies
Proven experience as a legal counsel in business environment
