Equity Group Investments, a Chicago private equity firm, is seeking an Associate General Counsel with 10+ years’ corporate transactional experience
Job Specifications: The Associate General Counsel will report to and work with the Chief Legal Officer and other investment professionals in negotiating complex business transactions and managing the legal aspects of EGI’s portfolio companies, with an emphasis on:
M&A and Private Equity:
Work with the CLO and the EGI investment team in the development, structuring, and negotiation of direct investments. Investments range in security type, portfolio company industry and asset class, portfolio company geographies, ownership stakes (control, minority), and partner dynamics, and include both public and private.
Draft and negotiate, and work with outside counsel in drafting and negotiation of, transaction documents, including term sheets, purchase and sale agreements, shareholder agreements, employment agreements and related deal documents.
Oversight and evaluation of legal due
Support EGI investment team and portfolio companies in transactions and other matters at the portfolio-company level.
Work closely with the CLO on managing public company investments and filings.
Work closely with the CLO and real estate team to manage real estate investments.
Flexibility to handle other legal needs of EGI and its investments as they arise.
Candidates will be licensed to practice in the State of Illinois with 10+ years of strong corporate transactional experience.
Strong verbal and written communication skills and proven negotiation ability.
Excellent interpersonal skills, with an ability to interface with colleagues, partners and portfolio companies.
Ability to work independently, and creatively solve problems.
Private Equity experience preferred, but not required.
