Under the direction of the VP Associate General Counsel, the Staff Attorney provides legal advice to the enterprise. This position will assist in counseling all levels of management in diverse issues related to government and business operations. The Staff Attorney will provide recommendations to minimize legal and financial exposure to the enterprise. This position will also assure best practices to address emerging legal and business issues related to tribal government and its business enterprises. Meaningful experience in four or more of the following substantive legal areas is preferable: general commercial contracts, complex transactions, construction contracts, finance, fund investments, mergers and acquisitions, trademarks, soft intellectual property/licensing, information technology, corporate governance, procurement, compliance, real estate, and risk management (collectively, the “Areas of Practice”).
Essential Duties & Responsibilities
Assists in counseling all levels of management and staff in diverse issues related to government and business operations, including negotiating and drafting agreements, advising on employee relations, benefits, and labor matters, assessing risk management and insurance issues, and advising on regulatory compliance matters.
Provides recommendations to the Board to minimize legal/financial exposure of the tribal government and its business enterprises.
Assures best practices and timely updates to address emerging legal and business issues related to tribal government and its business enterprises.
Provides support for complex commercial transactions and relationships including real estate transactions, start-up enterprises, joint ventures, acquisitions and dispositions.
Addresses tribal, federal, and state regulatory agency requirements.
Assists in advising the Board on governance and compliance issues as relates to investment funds, arrangements with financial institutions and related policies.
Assists with contractual relations with outside vendors in a wide variety of services.
Assists in due diligence in various transactions and in thinking through strategic and tactical decisions with various departments and divisions.
Advises on proposed and existing legislation; participates in drafting proposed state and federal legislation. Analyzes and drafts tribal laws, regulations, and policies.
Provides legal support to environmental, education, cultural resources, and grants departments.
Prepares legal documents related to legal entities including resolutions, by-laws, meeting minutes, and other organizational documents.
Provides legal support to Office of Public Affairs on political and crisis management matters.
Assists in advising on intellectual property and information technology matters.
Perform other duties as assigned to support the efficient operation of the department.
Juris Doctorate from an American Bar Association accredited law school.
Must be a member in good standing of the California Bar.
Minimum of three (3) years of legal work experience required.
Experience working with tribal government preferred.
Equivalent combination of education and progressive, relevant and direct experience may be considered in lieu of minimum educational/experience requirements indicated above.
At the discretion of the San Manuel Tribal Gaming Commission you may be required to obtain and maintain a gaming license.
