Compliance, General Commercial/Contracts, Mergers/Acquisitions
The Senior Director, Associate General Counsel will report to the General Counsel and will be a key member of the PFG legal team and have responsibilities in the following areas: -Negotiate and handle a wide range of complex commercial contracts, -Assist PFG in its merger and acquisition activities and general business and corporate legal needs, -Provide practical, business-minded legal advice and support to senior management and business leaders across PFG’s business segments, -Drive process improvements and promote a culture of compliance and -Function as a team member within the organization and perform any duty assigned to best serve the company.
This position will provide best-in-class legal services in an efficient, timely and cost-effective manner by anticipating, addressing and creatively resolving legal issues and providing counsel to the company in a manner that optimizes business results.
Drafts, reviews, negotiates and interprets a variety of commercial agreements, including but not limited to, NDAs, supply agreements, customer agreements, consulting agreements, purchase order terms and conditions, finance agreements and information technology contracts.
Provides support to PFG’s merger and acquisition and other business transaction activities, including drafting and negotiating deal documents and performing due diligence.
Assists with capital raising transactions such as debt and equity offerings and credit agreements.
Advises business on legal matters and provides risk analysis on new and ongoing initiatives.
Assists with PFG’s legal and regulatory compliance programs and initiatives, including policy drafting and employee training.
Works collaboratively with a broad range of stakeholders and develops strong partnerships with operating leaders by providing excellent legal guidance and facilitating efficient resolution of legal and commercial questions.
Proactively engages operating teams to review and evaluate business practices for legal risk.
Performs other related duties as assigned.
Juris Doctorate and Undergraduate degree from a well-known university/college combined with a J.D. from a highly respected law school.
10+ years of lawyer experience gained in a sophisticated law firm environment and in-house legal department. Broad corporate transactional background in general commercial contracts and M&A and leases/real estate is preferred.
Preferred Professional Certification(s): Active, licensed member in good standing of at least one U.S. state bar
