Corporate, General Commercial/Contracts, Technology
Partner with Enterprise Procurement to provide legal review, advice, and input on a wide array of vendor agreements;
Serve as the primary point of contact for Legal with respect to technology vendor agreements and purchase Partner with the company’s technology team to structure, review, draft, and negotiate complex technology-related agreements;
Draft and review, as needed, commercial agreements with customers, vendors, or other partners, including professional services agreements, nondisclosure agreements, and data sharing;
Work cross-functionally with technology, sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk Work cross-functionally to develop commercial models (including defining and drafting the relevant terms and conditions);
Engage directly with external partners and collaborate cross–functionally with internal teams to guide compliance and legal parameters surrounding contracting needs;
Identify and evaluate contractual and legal risks of business opportunities and suggest alternatives that lead to optimal;
Perform legal and regulatory research in support of business;
Establish trusted advisor relationships with the Enterprise Procurement, technology, and business leadership;
Take on additional assignments and responsibilities as needed.
5+ years of relevant legal experience is required;
Must be a member in good standing of state bar;
Substantial experience with procurement/vendor contracts;
Technology background and proficiency;
Solid contract drafting and negotiation skills;
Urgency and results focus to ensure timely and appropriate response to issues raised; and
Business judgment and acumen.
