Corporate, General Commercial/Contracts, Mergers/Acquisitions
The Assistant General Counsel will provide legal and business support to ESCO’s operating subsidiaries worldwide in areas such as contracts, real estate, personnel, and litigation. In addition, this position will support ESCO on corporate matters and its steady stream of M&A transactions. This position requires the ability to handle a wide range of diverse legal matters as well as a desire to learn new areas of the law as issues arise. As a member of ESCO’s small in-house legal team you must be a detail oriented problem solver with minimal need for oversight.
Conduct M&A due diligence, prepare/review disclosure schedules, negotiate purchase/sale agreements, and resolve post-closing claims.
Draft and negotiate complex domestic and international agreements between ESCO subsidiaries and third parties (e.g. customers, distributors, vendors) which may involve custom drafting and/or revising agreements proposed by third parties.
Learn and understand the Company’s markets and technologies so as to be equipped to provide appropriate legal support.
Lead efforts to publish the Company’s annual sustainability report.
Draft and negotiate real estate agreements such as leases.
Prepare and provide training on relevant contractual and legal matters such as the battle of the forms, FCPA, limitation of liability, indemnity, and other contractual issues.
Address routine corporate issues such as preparation of resolutions, return of capital, declaration of dividends, intra company transactions, and equity contributions.
Develop and maintain strong working relationships with internal business leaders.
Ability to travel domestically occasionally and internationally rarely.
Must be a lawyer qualified to practice law in at least one U.S. State and have at least 10+ years of relevant experience.
In-house experience at a public company or complex private company is a plus. Law firm M&A experience also a plus.
Strong critical thinking and analytical skills with the ability to come up with creative solutions to business challenges.
Ability to work independently and manage multiple projects on tight deadlines.
Superior writing and drafting skills.
Ability to effectively communicate, collaborate and build professional relationships with internal clients.
Ability to effectively manage complex projects and interact with outside counsel as necessary.
