Corporate Generalist, General Commercial/Contracts, Technology
As part of a team composed of the Chief Financial Officer, Chief Compliance Officer and Vice President, Finance and Administration; Security Officer; Privacy Officer; Managing Technology Counsel; Manager, Proposals, Projects and Legal; and Legal Administrative Assistant, this position is responsible at the Data Division for the following:
Advises senior executives, directors and other staff regarding a wide array of legal matters.
Reviews, analyzes, drafts, revises and negotiates a wide variety of contracts, with a focus on software license agreements, software-as-a-service agreements and business associate agreements.
Counsels concerning compliance, including privacy and security; ensures management is aware of compliance issues; and assists with practical strategies for addressing risks.
Advises with respect to international matters, including contracts, compliance, competition and other issues impacting business in other countries.
Provides legal advice regarding, and supports the successful closure of, mergers and acquisitions.
Counsels concerning pre-litigation disputes to facilitate quick, fair, and economical resolution of disputes, and manages litigation to control costs.
In close collaboration with the Manager, Proposals, Projects and Legal, supports timely delivery of compelling proposals regarding Data Division products and services.
Advises concerning routine employment matters.
Develops, manages and mentors Legal Administrative Assistant.
Juris Doctorate degree and current license to practice law.
At least five years of experience and expert training with respect to contract analysis, drafting, revision and negotiation, and other experience practicing law, with an emphasis on transactions, compliance and privacy.
Excellent writing skills and ability to clearly, concisely and precisely communicate in plain English.
Excellent analytical skills and ability to independently, pragmatically and creatively resolve key issues.
Exceptional attention to detail and focus on accuracy, consistency and completeness.
Ability to recognize and anticipate a wide variety of legal issues, including issues relating to contracts, procurement, employment, compliance and international matters.
Ability to multi-task and demonstrated organizational, prioritization and time management skills.
Ability to work effectively in a team oriented, high demand and fast-paced environment.
Ability to maintain high level of confidentiality and work with highly sensitive data and information.
Ability deal with various levels of staff, including executives, and outside contacts and communicate effectively.
Effective listening skills and ability to ensure understanding of instructions and directions.
Ability to analyze, summarize and address contractual and other legal requirements in requests for proposals.
