AIG Investments (“AIGI”) is seeking a Junior Attorney to join its Legal Department and provide legal support to both the Workout and Public Credit Groups.
Specific Responsibilities Will Include
Reviewing and advising on credit agreements, bond indentures, intercreditor agreements, collateral documentation, and similar documents and instruments governing AIGI’s rights and remedies with respect to fixed income investments, including those that are or may become distressed.
Conducting covenant analysis and capital structure reviews; analyzing capacity for indebtedness, liens, restricted payments, and investments by issuers / borrowers in the high-yield and stressed / distressed market.
Reviewing and drafting amendments, waivers, forbearance agreements, sponsor guarantees, capital calls, non-disclosure agreements, trading documentation, financial advisor engagement letters, law firm engagement letters, other workout-related documentation, general legal agreements, and assisting with administrative matters.
Identifying, analyzing and communicating key issues to assist in the evaluation of potential high-yield / distressed credit investments.
Formulating strategy around restructuring and workout decisions.
Contributing to the Legal Department’s broader goals and projects, and developing expertise in other credit-related legal matters.
Candidates must have a JD and be admitted to at least one state bar (preferably New York).
3+ years of major law firm or relevant in-house experience.
Familiarity with credit documentation including, but not limited to, credit agreements, bond indentures, intercreditor agreements, collateral documentation, and secondary trading documentation.
Familiarity with Article 9 of the UCC and related sources of law.
Experience with out-of-court workouts, corporate restructurings and chapter 11 reorganizations.
Top academic credentials.
