The Associate General Counsel assists the General Counsel concerning legal rights, obligations and privileges relating to various areas of law, including, among others: corporate, mergers and acquisitions, regulatory, commercial contracts, real estate, environmental, maritime, international trade, transportation, employment and intellectual property. This position reports to the Chief General Counsel.
The Associate General Counsel generally supports the General Counsel and assists in various corporate functions under the supervision and direction of the General Counsel, including, among other things:
Develops and maintains corporate minute books and other corporate records; ensures that applicable corporate forms are filed on a timely basis; and ensures that the Company's boards of directors and other corporate bodies function in accordance with applicable law, regulations, and policies
Drafts required corporate compliance and other policies and procedures
Prepares business contracts and administers other legal matters
Represents the company in certain business transactions
Assists the General Counsel in managing outside legal counsel and other consultants or service providers in the provision of legal and other services to the Company
Supports the General Counsel in advising and supervising the performance of various regulatory compliance functions, including, among others, maintaining compliance policies, preparing and filing required compliance program documents, responding to regulatory exams, coordinating and implementing company-wide compliance initiatives, ensuring the implementation of compliance training programs
Coordinates with other responsible company officers to ensure compliance is maintained under applicable federal, state and international laws, rules and regulations and under the company's compliance policy
Ensures that written policies and procedures to support all applicable federal, state and international regulatory requirements are developed, approved, and maintained
Supports outside litigation counsel by acting as liaison between counsel and the Company and by expediting interactions with appropriate Company employees supporting litigation activity.
Researches and interprets applicable laws, rulings, and regulations and advises the Company accordingly
Negotiates and drafts leases and real estate sales and or purchases
Monitors document retention policies and compliance
Other duties as are assigned by the General Counsel from time to time.
Required Skills and Experience
Bar admission in good standing in New York
Minimum 2 years corporate legal experience
In-depth experience in contract drafting and negotiations
Experience in environmental, regulatory, employment, M&A, intellectual property and maritime a plus
Ability to effectively work in a highly collaborative, responsive manner, with the ability to escalate critical issues to senior management and advise on resolution
Keen business acumen, strong and effective communication ability and excellent negotiation skills
Ability and willingness to quickly learn unfamiliar areas of law and to adapt as business needs change
Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure, while maintaining attention to detail
High energy level and high degree of self-motivation, with a sense of urgency to achieve stated business goals
Experience delivering or recommending timely solutions that meet legal requirements and business objectives of the company
Superior drafting skills, especially the ability to draft effective and strategic contract language that is clear, concise, and easily understood
Exceptional written, verbal and interpersonal skills
Ability to maintain confidentiality, discretion, and compliance with Company policy and the Rules of Professional Responsibility for attorneys
Available during evenings and on weekends, as necessary
Available for travel as needed
